北京能源國際(00686.HK)擬戰略性收購澳洲清潔能源項目
格隆匯8月21日丨北京能源國際(00686.HK)發佈公吿，2024年8月20日，買方(即Beijing Energy International (Australia) Holding Pty Ltd，公司的全資附屬公司)及賣方(即北京京能清潔能源電力股份(香港)有限公司)訂立買賣協議，據此，賣方有條件同意出售及買方有條件同意購買銷售股份(目標公司40%已發行普通股股本，即目標公司4860.004萬股股份)，代價包括交割金額約1.83億澳元及調整金額(如有)。
目標公司(即Beijing Jingneng Clean Energy (Australia) Holding Pty Ltd)為一間於澳洲註冊成立的有限責任公司，主要從事投資控股且現持有Gullen Wind、Gullen Solar及Biala各自的全部股權。Gullen Wind、Gullen Solar及Biala各自均為於澳洲註冊成立的有限責任公司，併為該等項目相應的營運商。該等項目的詳情載列如下：(1)Gullen風電場為一個位於澳洲新南威爾士南部高原，擁有73個渦輪，總裝機容量為165.5兆瓦的風電場。Gullen風電場由Gullen Wind營運，並於2014年12月投入使用。 (2)Gullen太陽能發電場為一個與Gullen風電場位置相同，擁有42,180塊太陽能電池板，總裝機容量為10兆瓦交流電的太陽能光伏發電場。Gullen太陽能發電場由 Gullen Solar營運，並於2017年8月投入使用。 (3)Biala風電場為一個位於澳洲新南威爾士南部高原，擁有31個渦輪，總裝機容量為110.7兆瓦的風電場。Biala風電場由Biala營運，並於2022年4月投入使用。
董事會認為，收購事項將與集團現有清潔能源發電站組合互為補充，以進一步拓展集團於澳洲清潔能源行業的業務規模，從而為股東賺取更大回報。因此，董事會認為，收購事項為拓展集團現有清潔能源業務的良機。經考慮(i)Gullen風電場、 Gullen太陽能發電場及Biala風電場分別自2014年12月、2017年8月及2022年4月起開始發電；及(ii)截至2022年12月31日止年度及截至2023年12月31日止年度，目標公司分別錄得除所得税後溢利約3090萬澳元及約3980萬澳元，董事會認為，目標集團有合理潛力在未來為公司創造新的海外溢利。因此，董事會對澳洲風電場及太陽能發電場行業的前景持長期樂觀態度。
