東方環宇(603706.SH)：擬對部分應收賬款進行債務重組
格隆匯8月5日丨東方環宇(603706.SH)公佈，公司為儘快收回貨款，降低迴款的不確定性風險，減少公司壞賬損失風險，擬與昌吉市城投熱力有限公司、昌吉城市建設投資發展有限責任公司、新疆浩聚源房地產開發有限公司、新疆誠浩房地產開發有限責任公司進行債務重組。
鑑於債務重組人昌吉城建擬用於抵債的標的房產均為未曾出售的新房產，公司按市場公允價格測算標的房產的可回收金額，因本次債務重組形成的非流動資產，於資產負債表日有跡象表明發生減值的，在期末對相關資產逐項進行減值測試，估計其可收回金額。若該等非流動資產的可收回金額低於其賬面價值的，按其差額計提資產減值準備。
就本次債務重組，公司擬分別與昌吉城投、昌吉城建簽署《債務轉讓協議》，與昌吉城建、新疆浩聚源簽署《債務清償協議》，與昌吉城建、新疆浩聚源、新疆誠浩簽署《補充協議》，上述協議主要內容具體如下：
（一）《債務轉讓協議》
公司同意昌吉城投將欠付公司的燃氣費182,841,929.89元（大寫：壹億捌仟貳佰捌拾肆萬壹仟玖佰貳拾玖元捌角玖分）轉讓至昌吉城建；昌吉城建同意接收昌吉城投欠付公司的前述債務。《債務轉讓協議》簽訂後，昌吉城投欠付公司的燃氣費182,841,929.89元（大寫：壹億捌仟貳佰捌拾肆萬壹仟玖佰貳拾玖元捌角玖分）由昌吉城建負責償還，昌吉城建作為新的債務人，根據其與公司協商結果按約定償還債務。
（二）《債務清償協議》
公司及昌吉城建同意，昌吉城建以其持有的標的房產的銷售款，清償昌吉城建欠公司的燃氣費182,841,929.89元（大寫：壹億捌仟貳佰捌拾肆萬壹仟玖佰貳拾玖元捌角玖分），公司將指定第三方全權負責標的房產的對外銷售包括設定專門銀行賬户、歸集銷售回款等，銷售標的房產所產生的回款全部用以償還燃氣費。銷售款超過燃氣費的部分，仍歸公司所有；銷售款少於燃氣費的部分，公司將豁免該部分債務。新疆浩聚源同意，昌吉城建以持有標的房產的銷售款清償昌吉城建欠付公司的前述燃氣費。
（三）《補充協議》
公司及昌吉城建同意，昌吉城建以其持有的標的房產的銷售款清償昌吉城建欠公司的燃氣費182,841,929.89元（大寫：壹億捌仟貳佰捌拾肆萬壹仟玖佰貳拾玖元捌角玖分）；新疆浩聚源同意，昌吉城建以標的房產的銷售款清償昌吉城建欠付公司的前述燃氣費。鑑於在《補充協議》簽署期間，新疆浩聚源與新疆誠浩正處於股權變更過程中。因此，新疆浩聚源與新疆誠浩共同確認，上述標的房產歸公司所有，公司擁有完全獨立自主的定價權、銷售權等處置權利，新疆浩聚源與新疆誠浩不得干預公司以上權利，且有責任協助公司辦理銷售、按揭、不動產證辦理等。
