尖峯集團(600668.SH)：參股子公司天士力實控人擬變更為中國華潤
格隆匯8月4日丨尖峯集團(600668.SH)公佈，2024年8月4日，天士力集團及其一致行動人天津和悦、天津康順科、天津鴻勛、天津通明、天津順祺、天津善臻與華潤三九簽訂了《股份轉讓協議》。根據協議內容，華潤三九受讓天士力集團及其一致行動人合計持有的418,306,002股天士力股份，佔天士力總股本的28%，轉讓價格為每股人民幣14.85元，轉讓價款合計為人民幣6,211,844,129.70元。具體包括天士力集團持有的天士力351,619,489股股份、天津和悦持有的天士力29,175,350股股份、天津康順持有的天士力12,503,722股股份、天津順祺持有的天士力7,252,158股股份、天津善臻持有的天士力6,460,255股股份、天津通明持有的天士力5,668,354股股份、天津鴻勛持有的天士力5,626,674股股份。此外，天士力集團同意，天士力集團應出具書面承諾，承諾上述股份登記在華潤三九名下之日（“登記日”）後放棄其所持有的天士力5%股份所對應的表決權等方式，使其控制的表決權比例不超過12.5008%。雙方同意，登記日後，天士力集團如向非關聯方及/或非一致行動人轉讓天士力股份時，視同優先轉讓已放棄表決權的股份；轉讓方的非關聯方及/或非一致行動人所受讓的天士力集團股份，不受天士力集團放棄表決權承諾的約束，受讓人依法享有相應股東權益。（以下簡稱“天士力集團及其一致行動人與華潤三九的控制權轉讓事項”或“控制權轉讓事項”）
上述權益變動完成後，天士力控股股東將由天士力集團變更為華潤三九，實際控制人將由閆希軍先生、吳迺峯女士、閆凱境先生、李畇慧女士變更為中國華潤。
同日，天士力集團與國新投資簽訂了《股份轉讓協議》，約定國新投資受讓天士力集團持有的天士力74,697,501股股份，佔天士力總股本的5%，轉讓價格為每股人民幣14.85元，轉讓價款為1,109,257,889.85元。（以下簡稱“天士力集團向國新投資協議轉讓股份”）
天士力集團是本公司的參股子公司，本公司持有其20.76%的股權，按權益法核算，本次交易將對天士力集團交易完成當年的利潤帶來重大正面影響，若本次交易能如期完成，預計將增加交易完成當年本公司從天士力集團獲得的投資收益，但鑑於本次交易尚存在不確定性，具體影響暫無法預估，實際影響以其經審計的合併財務報吿結論為準。
