格隆匯7月23日丨宏基資本(02288.HK)公吿,於2024年7月23日,RH買方Worth Celestial Limited(公司直接全資附屬公司)與RH賣方(陳偉倫、伍美珊)訂立RH物業公司協議,據此,RH賣方已有條件同意出售RH待售股份,且RH賣方1已有條件同意轉讓RH待售貸款,而RH買方已有條件同意購買RH待售股份並接納RH待售貸款的轉讓,而不附帶任何產權負擔,初始代價為5608.4萬港元,可根據RH物業公司協議的條款進行調整(如有)。

"RH待售股份"指RH待售股份1及RH待售股份2的統稱。"RH待售股份1"指由陳(即RH賣方1)合法實益擁有RH物業公司面值1.00美元1股股份,佔RH完成時RH物業公司全部已發行股本的50%;"RH待售股份2"指由陳太(即RH賣方2)合法實益擁有RH物業公司面值1.00美元1股股份,佔RH完成時RH物業公司全部已發行股本的50%。"RH物業"指香港白筆山道18號紅山半島松柏徑53號屋。

董事會認為,收購事項為集團提供擴大投資組合的有利機會。儘管近兩年香港豪宅物業價格因高利率環境及外圍市場不明朗等因素而下跌,但集團對香港豪宅物業市場的前景仍持樂觀態度。

董事會認為,香港豪宅物業市場已接近底部,並預計不久的將來可能出現復甦,這得益於預期美聯儲將於2024年下半年開始減息,以及香港政府實施的各項政策,例如放寬樓市"減辣"措施及抵押貸款政策,以及引入新資本投資者入境計劃及高才通計劃。透過在此特定時機進行收購事項,本集團旨在透過短期內變現RH物業(如可行)把握預期市場回升及從潛在價格升值中獲得收益。
