順誠(00531.HK)：建議以協議安排方式私有化及撤銷公司上市地位 7月17日起復牌
格隆匯7月16日丨順誠(00531.HK)公吿，要約人富山(香港)有限公司及公司聯合宣佈，於2024年7月11日，要約人要求董事會向計劃股東提出建議事項以通過計劃(即公司法第86條項下協議安排)方式將公司私有化。要約人為於香港註冊成立有限公司，主要從事投資控股，由綠怡有限公司(由公司主席兼執行董事郭山輝及其配偶劉宜美分別最終實益擁有50%及50%權益)全資擁有。
根據建議事項，倘計劃獲得批准並予以實施，計劃股份將予以註銷及剔除，而作為註銷及剔除該等股份的代價，於計劃記錄日期各計劃股東將有權就計劃項下每股已註銷及剔除計劃股份以現金收取要約價0.480港元。每股計劃股份的要約價0.480港元較股份於最後交易日在聯交所所報收市價每股0.320港元溢價約50.00%；假設直至計劃記錄日期不會發行任何新股份，建議事項將涉及提出註銷879,468,000股計劃股份以換取每股計劃股份0.480港元的要約價的要約，要約人於建議事項下應支付的最高現金代價約為422,144,640港元。
要約人擬以中國信託商業銀行股份有限公司及星展銀行(香港)有限公司提供的融資為建議事項下應支付的現金代價提供資金。星展亞洲融資(作為要約人有關建議事項的財務顧問)信納，要約人可以取得充足的財務資源以履行其就完全實施建議事項的付款責任。
公司將委聘獨立財務顧問(經獨立董事委員會批准)，以分別就(a)建議事項及計劃是否屬公平合理；及(b)無利害關係計劃股東如何於法院會議及股東特別大會上投票，向獨立董事委員會提供建議。
計劃生效後，所有計劃股份將被註銷及剔除且計劃股份股票此後不再具有作為所有權文件或證據效力。公司將於生效日期後根據上市規則第6.15條向聯交所申請撤銷股份於聯交所上市地位。
公司已向聯交所申請自2024年7月17日上午九時正起恢復股份於聯交所買賣。
