第一太平(00142.HK)：由第一太平投資者集團投資PT JASAMARGA TRANSJAWA TOL約24.5%股本權益
格隆匯7月2日丨第一太平(00142.HK)發佈公吿，2024年6月28日： (1) MUN及MPTIS(第一太平投資者集團，各自均為公司的菲律賓聯號公司MPIC擁有大多數權益的間接附屬公司)及WIPL(Warrington Investment Pte. Ltd.，作為買方)已與JM(PT Jasa Marga (Persero) Tbk，作為賣方)訂立JM有條件股份購買協議，據此，投資者集團已同意購買，而JM已同意出售合共約62億股目標股份(佔經擴大目標股本約28.5%)，有關總代價為128,250.00億印尼盾(相等於約7.820億美元或60.997億港元)(可予調整)；
(2) MPTIS(PT Metro Pacific Tollways Indonesia Services，作為買方)已與KKJM(Koperasi Konsumen Karyawan Jalin Margasejahtera，作為賣方)訂立KKJM有條件股份購買協議，據此，MPTIS已同意購買，而KKJM已同意出售合共約2.05億股目標股份(佔經擴大目標股本約0.9%)，有關總代價為4,250.00億印尼盾(相等於約 2,590萬美元或2.021億港元)(可予調整)；及
(3) MPTIS(作為認購方)與目標公司(即PT Jasamarga Transjawa Tol)已訂立股份認購協議，據此，MPTIS已同意認購，而目標公司已同意發行及配發合共約12.09億股目標股份(佔經擴大目標股本約5.6%)，有關總代價為25,000.00億印尼盾(相等於約1.524億美元或11.890億港元)。
完成後，第一太平投資者集團將根據投資文件取得約53.37億股目標股份(佔經擴大目標股本的直接股權約24.5%，並由MUN及MPTIS分別佔約4.2%及20.3%)，總代價為110,407.50億印尼盾(相等於約6.732億美元或52.511億港元)(可予調整)，而WIPL將根據投資文件取得約22.77億股目標股份(佔經擴大目標股本的直接股權約10.5%)，總代價為47,092.50億印尼盾(相等於約2.871億美元或22.398億港元)(可予調整)。
JM購買總代價及KKJM購買總代價可予向上及╱或向下調整，包括投資者集團根據JM有條件股份購買協議的條款及條件可能須支付予JM的最高金額2,500.00億印尼盾(相等於約1,520萬美元或1.189億港元)的額外獲利付款。MUN及MPTIS就第一太平投資事項應付的代價(包括MUN及MPTIS合共應付的獲利付款最高金額1,750.00億印尼盾(相等於約1,070萬美元或8,320萬港元))的最高金額合共為112,157.50億印尼盾(相等於約6.839億美元或53.343億港元)。
此外，於2024年6月28日，MUN、MPTIS、WIPL及JM已就目標公司的管治及管理訂立股東協議，股東協議將於完成時對有關各方具有法律效力及約束力。
