阿爾法企業(00948.HK)擬收購瀋陽金蟻電子商務70%經濟利益
格隆匯6月28日丨阿爾法企業(00948.HK)發佈公吿，2024年6月27日，集團成員公司(即債權人香港維勒斯貿易有限公司及外商獨資企業杭州明安迪電子商務有限公司)與債務人(即Prime Global Trading Pty Ltd)及登記股東(即張學坤先生)簽訂債務清償協議，據此，登記股東同意將經濟利益及股東貸款的權利轉讓予外商獨資企業，代價為債權人同意免除總額為505.7萬澳元(相當於約2624.58萬港元)的貿易債務。
集團的主要業務活動包括(其中包括)奶粉及嬰兒食品貿易。在進行此業務的過程中，債務人(獨立第三方)產生(其中包括)與集團所供應乳製品有關的總額為505.7萬澳元(相當於約2624.58萬港元)的貿易債務。在緊接簽訂債務清償協議前，貿易債務仍未清償。
在債務清償協議條款及條件的規限下，透過外商獨資企業的方式，登記股東將轉讓及債權人將收購併無任何產權負擔的經濟利益及股東貸款權利，並連同其附帶的所有權利，包括在完成日期或之後的任何時間可能就其派付、宣派或作出的所有股息或分派。作為代價，債權人將無條件且不可撤銷地全額免除貿易債務，且該等貿易債務應在完成時被視為已全額償付。
完成後，目標公司將作為公司擁有70%權益的附屬公司入賬，目標集團的財務業績、資產及負債將綜合計入公司的綜合財務報表。根據上市規則第14.60A條，公司將於本公吿刊發後15個營業日內刊發進一步公吿。
目標公司(即瀋陽金蟻電子商務有限公司)主要在中國從事(其中包括)電子商務業務，其業務受限於現行中國法律及法規的外商投資禁止。監於存在上述外商投資禁止，外商獨資企業、目標公司及登記股東訂立合約安排對集團在中國開展目標公司業務而言乃屬必要。根據合約安排，目標公司的主要及重大業務決策將由集團透過外商獨資企業指示及監督，目標公司業務產生的風險亦實際由集團承擔，因為目標公司被視為由公司擁有70%權益的附屬公司。
