香港電訊-SS(06823.HK)擬出售一家附屬公司的權益 總代價8.7億美元
格隆匯6月26日丨香港電訊-SS(06823.HK)及電訊盈科(00008.HK)聯合公佈，2024年6月26日，賣方(Apex Link Communications Holdings Limited，一家香港電訊的間接全資附屬公司)與投資者訂立買賣協議，據此，賣方同意出售而投資者同意購買目標權益(金額為港幣3.44億元的應收賬款，即Passive Netco欠付賣方港幣8.59億元應收賬款的40%；及於完成時數目佔目標公司全部已發行股本40%的股份)，總代價為8.70億美元，將以現金結算。完成後，目標公司將仍是香港電訊的間接附屬公司，亦即為電訊盈科的間接附屬公司。
賣方、投資者及目標公司已於買賣協議日期同日訂立股東協議，該協議須以完成作實為條件，並自完成日期起生效。Passive Netco(一家目標公司的全資附屬公司)及HKTL(一家香港電訊的間接全資附屬公司)將於完成時訂立主服務協議。
目標公司(Regional Link Telecom Services Holdings Limited，於本公吿日期為香港電訊的間接全資附屬公司 )是一家於英屬維爾京羣島註冊成立的有限公司。目標公司的主要業務為投資控股。Passive Netco為目標公司的全資附屬公司。於本公吿日期，Passive Netco並無開展任何業務營運。Passive Netco將於完成後從事無源網絡業務。投資者(即Magic Investment Bidco Limited)是一家於開曼羣島註冊成立的股份有限公司，由招商局資本獨家管理及控制，並間接得到包括民銀國際投資(香港)在內的多方投資。投資者的主要業務為另類投資。
公吿表示，本交易可讓香港電訊透過引入投資者作為長期合作伙伴釋放其廣泛無源網絡業務的價值，並與投資者分擔與進一步擴展網絡基建以支持業務增長相關的未來資本開支。隨着香港新住宅開發區的規劃、企業數碼化轉型的加快及大灣區的融合日益緊密，Passive Netco將與香港電訊和投資者攜手，擴展其無源基建業務，以支持新的服務項目推出，並拓展至新的地區。此外，本交易將使香港電訊得以加強資源，以提升及擴闊其提供予消費者的服務項目，特別在輔助數碼化時尚應用領域，並向企業客户提供創新及先進的技術方案。
