天齊鋰業(002466.SZ)：CMF不同意天齊智利的訴求
格隆匯6月19日丨天齊鋰業(002466.SZ)公佈，智利當地時間2024年6月18日，CMF公開發布了一份名為CMFinformaquepublicórespuestaapresentacióndeInversionesTLCSpA的文件（中文譯文：《CMF關於對天齊智利提交材料的回覆》）。CMF認為：《合夥協議》不適宜由SQM的特別股東大會作出裁決，該交易應由SQM的董事會進行分析和決議；這不影響股東在認為對SQM和股東造成損害的情況下，根據一般規則追究董事責任的權利（如適用）。因此，CMF不同意天齊智利的訴求。
根據《合夥協議》的約定，成立合營公司的先決條件之一是“公司全資子公司天齊智利於2024年5月21日向CMF提出的禁令請求（即該交易須在SQM股東大會上獲得三分之二有投票權的股份的批准）未被接受，且沒有任何有權機構發佈命令阻止合夥關係的生效”，但《合夥協議》其他先決條件是否滿足尚存在不確定性。公司將在法律允許的範圍內全面評估，不排除在確保作為SQM股東的利益得到保障的前提下考慮採取可能的行動。此外，根據SQM於2024年5月31日披露的《SQM與Codelco簽署合夥協議之公吿》，目前無法確定執行《合夥協議》可能帶來的財務影響。《合夥協議》相關的交易預計將在2025年1月1日或之後完成，因此預計其不會對公司2024年度的財務狀況、經營成果造成重大影響。
如果《合夥協議》約定的先決條件滿足後生效實施，一方面合營公司在阿塔卡馬鹽湖開採鋰的配額可能將增加並延長期限，另一方面Codelco將按照《合夥協議》約定分配合營公司的利潤。由於所獲取的信息有限，截至目前公司無法確定上述事項疊加後對公司持有SQM股權應享有的投資收益及分紅金額的影響。在2023年報時點，公司基於當時掌握的信息和相關假設對SQM進行了減值測試，結果顯示SQM在2023年報時點不存在減值情形。基於目前已獲知的《合夥協議》內容判斷，公司在2023年年度報吿中根據當時掌握的信息和相關假設對截至2023年12月31日SQM長期股權投資進行減值測試的結果沒有發生重大變化；《合夥協議》也不影響公司繼續採用長期股權投資權益法對SQM進行核算和後續計量。公司會繼續密切關注SQM的更新信息，並及時從財務角度進行相應的謹慎評估。
