恒大汽車(00708.HK)附屬公司被要求退回已發放的各項獎勵及補貼合計約19億元
格隆匯6月11日丨恒大汽車(00708.HK)公吿，相關附屬公司於近日收到相關地方行政部門進一步下發的行政處理決定書，其主要內容如下：承函件，相關地方行政部門認為基於相關附屬公司未按相關協議的條款履行合同義務(主要包括未按照約定限期在相關地方行政部門所管轄的地區完成設立集團總部、全球研發中心及全球生產基地相關的投資規模、規劃產能及年銷售目標；未依期建成生產基地及研發中心並投產及完成新能源汽車車型的研發)，已構成違約，且從相關附屬公司的經營狀況判斷相關協議的目的客觀上已無法實現，故根據《中華人民共和國民法典》等中國法律法規的規定作出處理決定如下：(1)解除其中三份相關協議；(2)相關附屬公司自收到行政決定書之日起15日內向相關地方行政部門退回已發放的各項獎勵及補貼合計約人民幣19億元。
相關附屬公司在收到行政決定書之日起60日內可向相關地方的市人民政府申請行政複議，也可以在收到行政決定書之日起6個月內向該市的鐵路運輸法院提起行政訴訟。
上述處理決定如最終執行將導致集團存在相關工廠土地被強制收回，地上建築物及設備被用於償還獎勵及補貼款的風險，繼而對公司或各相關附屬公司的財務狀況和經營產生重大影響。目前，相關附屬公司已打算向相關地方的市人民政府申請行政複議。
此外，公司的附屬公司恒大新能源汽車(天津)有限公司於近日收到另一相關部門的吿知書，現將主要內容公吿如下：該部門對天津恒大的新能源乘用車產品生產准入條件保持情況進行核查後，提出三項須整改問題，擬責令天津恒大停止生產、銷售新能源乘用車產品，並進行整改。整改期間，該部門將暫停受理天津恒大的新能源乘用車新產品申報，以及新能源乘用車產品合格證電子信息傳送，待整改完成並通過覆核滿足生產准入條件後予以恢復。
如有異議，天津恒大可於收到吿知書之日起五個工作日內向該部門提交申訴材料。公司高度重視該部門對天津恒大的核查工作，並在其核查後積極整改問題。公司擬於上述限期前向該部門提報申訴整改材料。上述擬議處理意見如最終被正式執行將會對集團的經營情況產生重大影響。
