五礦資源(01208.HK)訂立認購及股東協議
格隆匯5月30日丨五礦資源(01208.HK)發佈公吿，於2024年5月30日，公司、MMG認購人、科莫控股、國新國際與合營公司訂立認購及股東協議，(i)據此，認購人有條件同意認購，而合營公司同意於交割時按認購價配發及發行認購股份（MMG認購股份及科莫控股認購股份），及(ii)據此，認購人（作為合營公司股東）與公司（作為合營公司）在管理及合營公司事務方面的關係將自交割後受到規限。
根據認購及股東協議，合營公司有條件同意於交割時(i)按科莫控股認購價向科莫控股配發及發行科莫控股認購股份，及(ii)按MMG認購價向MMG認購人配發及發行MMG認購股份。
MMG認購股份相當於MMG認購價除以1港元的合營公司股本中的股份數目，有關股份連同MMG認購人於認購及股東協議日期初步持有的一股合營公司股份，佔緊隨MMG認購股份及科莫控股認購股份發行後合營公司已發行股本中股份的55%。
科莫控股認購股份相當於科莫控股認購價除以1港元的合營公司股本中的股份數目，有關股份佔緊隨科莫控股認購股份及MMG認購股份發行後合營公司已發行股本中股份的45%。
於本公佈日期，合營公司為公司的間接全資附屬公司。交割後，公司將間接持有合營公司55%權益及科莫控股將直接持有45%權益。
合營集團的業務為：(a)運營並進一步開發和擴建Khoemacau礦山（其由Cuprous CapitalLtd及其附屬公司所擁有）；(b)進行勘探活動，並考慮制定在Khoemacau地區的礦牀和博茨瓦納的卡拉哈里銅礦帶進行開採的計劃；及(c)合資企業董事會或股東根據認購及股東協議決定對Khoemacau礦山開展的任何其他業務。
董事認為，透過此合營公司，科莫控股與國新國際的合夥關係為整合集團於採礦及開發方面的專業知識及實力雄厚的礦業投資者的資源及經驗創造了良好的機會，將持續推進集團的增長策略。收購事項對公司而言屬重大投資且為其於非洲的最大投資，需要籌集大量新債務及權益資本。
經計及公司當前資本架構及未來資金需求，董事認為成立合營公司以引進權益資本幫助公司分擔擁有權風險及回報及減少新債務資本關聯風險屬較為審慎的方式。
