一脈陽光(02522.HK)預計6月7日上市 引入聯影醫療等基石
格隆匯5月30日丨一脈陽光(02522.HK)發佈公吿，公司擬全球發售股份1781.6萬股，中國香港發售股份178.2萬股，國際發售股份1603.4萬股；2024年5月30日至6月4日招股，預期定價日為6月5日；發售價將為每股發售股份14.60-16.80港元，每手買賣單位500股；中信證券為獨家保薦人；預期股份將於2024年6月7日開始在聯交所主板買賣。
公司為中國一家領先的醫學影像專科醫療集團。根據弗若斯特沙利文的資料，中國第三方醫學影像中心市場仍處於快速發展期，與發達國家相比起步較晚，在2023年佔中國醫學影像服務市場約1.1%。根據弗若斯特沙利文的資料，按醫學影像中心網點數目、設備數目、以公司作為其主要工作場所註冊的執業影像醫生的註冊數目、日均檢查量及患者支付的費用計，於2023年，公司在中國所有第三方醫學影像中心運營商中排名第一；而按2023年影像中心產生的收入計，公司在中國所有第三方醫學影像中心中排名第二。公司主要在中國第三方醫學影像中心市場競爭，這是一個快速增長的行業，市場規模自2018年至2023年以29.0%的複合年增長率增長，預期自2023年至2026年則以33.5%的複合年增長率增長，遠超同期中國醫學影像服務市場分別為12.9%及14.3%的增長率。根據同一資料來源，公司亦是中國唯一一家為整個醫學影像產業鏈提供多元化影像服務及價值的醫學影像平台運營商及管理者，中國第三方醫學影像中心市場五大參與者中的其他四大參與者(按患者支付的費用計)並無同時提供與公司的影像解決方案服務及一脈雲服務相似的解決方案及服務。
公司已訂立基石投資協議，據此，基石投資者已同意(須受若干條件的規限)按發售價認購總金額 1.21億港元可購買的有關數目發售股份。假設發售價為每股15.70港元(即本招股章程所載指示性發售價範圍的中位數)，基石投資者將予認購的發售股份總數為764.45萬股。基石投資者包括卓投企業管理(香港)有限公司)(“卓投管理”，由江西贛江新區卓投企業管理有限公司(“贛江卓投”)全資擁有)；聯影醫療科技香港有限公司(“聯影香港”，由聯影醫療(688271.SH)全資擁有)；中國新鋭醫藥控股有限公司(“中國新鋭”，新鋭醫藥(06108.HK)的全資附屬公司)。
假設發售價為每股股份15.70港元(即指示性發售價範圍的中位數)，公司估計將自全球發售收取所得款項淨額約2.238億港元。所得款項淨額約50.0%擬用於擴充公司的醫學影像中心網絡；所得款項淨額約20.0%擬用於在醫學影像領域尋求戰略合作及併購的機會以及在醫療影像服務產業鏈中尋求戰略合作及投資機會；所得款項淨額約20.0%擬用於將公司的業務拓展至(i)相對缺乏醫療資源的海外國家和地區(例如東南亞)及(ii)人均可支配收入高以及在醫療影像服務方面具有龐大增長潛力的海外國家和地區(例如中東)；及所得款項淨額約10.0%擬用作營運資金及一般公司用途。
