越秀地產(00123.HK):收購琶洲南二期項目20%的股權
格隆匯5月20日丨越秀地產(00123.HK)發佈公吿,2024年5月19日,買方(廣州越秀華城房地產開發有限公司,為公司的非全資附屬公司)及廣州城建已與(其中包括)賣方(慧怡集團有限公司,為廣州越秀的附屬公司)及廣州越秀訂立交易文件,據此買方已有條件同意收購目標控股公司股權,而廣州城建已有條件同意收購目標控股公司貸款及目標公司貸款,包括:(a)目標控股公司(持有目標公司20%股權)的全部股權,總股權代價約為人民幣1497萬元;(b)於目標控股公司貸款的權益,以等額基準及按相同條款再融資目標控股公司貸款(包括應計利息)(除該筆貸款將因股權轉讓完成後目標控股公司成為公司的附屬公司而將不再計息)。廣州城建亦已同意於股權轉讓完成後承擔規管目標控股公司貸款的協議項下的任何未提取款額;及(c)於目標公司貸款的權益,以等額基準及按相同條款再融資目標公司貸款(包括應計利息)。廣州城建亦已同意於股權轉讓完成後承擔規管目標公司貸款的協議項下的任何未提取款額。
琶洲南二期項目位於廣州市海珠區琶洲西區南側。琶洲南二期項目為公共交通為導向開發(TOD)項目,位於廣州地鐵11號線赤沙車輛段附近。琶洲南二期項目的佔地面積為16.63萬平方米及計容建築面積為41.95萬平方米,可發展住宅及商業樓宇。琶洲南二期項目的建設已於2023年12月開工。
公吿表示,集團認為收購琶洲南二期項目20%的股權乃根據集團TOD業務戰略的落實以進一步加強集團的發展。憑藉公司控股股東廣州越秀國企背景的優勢以及與廣州地鐵的戰略合作關係,公司能以合理的價格收購一線城市地鐵沿線的優質土地儲備。收購事項完成後,集團TOD項目的總建築面積將增加至約389萬平方米,而集團在廣州市的優質土地儲備將增加至約1038萬平方米。集團TOD項目的總建築面積佔集團截至2023年12月31日土地儲備總量約12.9%。截至2023年12月31日止年度,集團TOD項目合約銷售價值約為人民幣273.7億元,佔集團於該年度合約銷售總額約19.3%。公司認為此項深具特色的TOD項目發展業務,將會給集團帶來持續的增長,進一步鞏固集團作為中國領先TOD物業開發商的市場地位。
此外,公司於項目所在地海珠區琶洲片區目前有三個開發中項目,合計擁有土地儲備60.74萬平方米,收購琶洲南二期項目20%的股權有利於公司共同開發該區域,提升公司在琶洲區域的市場地位和品牌優勢。
