盛和資源(600392.SH)擬4300萬澳元收購SRUL公司100%股權
格隆匯5月19日丨盛和資源(600392.SH)公佈，為了進一步拓展重砂礦資源渠道，保障原料供應，公司全資子公司晨光稀土與 STA 公司於近日簽署了《股份購買協議》，晨光稀土將支付全部交易價款為4,300萬澳元，其中27,180,104澳元用於收購 STA 公司全資子公司 SRUL 公司 100%股權，其餘 15,819,896 澳元將用於承擔 STA 公司為其坦桑尼亞項目提供的貸款。
STA 公司是一家根據澳大利亞法律設立的公司，在澳大利亞證券交易所掛牌上市，證券代碼 STA。
SRUL 公司持有 Nyati Mineral Sands Limited（尼亞提砂礦有限公司，以下簡稱“尼亞提”）84%股權（另外 16%為坦桑尼亞政府持有且不可稀釋），並通過尼亞提在坦桑尼亞持有 Fungoni、Tajiri、Sudi、Bagamoyo 等四個重砂礦項目，其中 Fungoni、Tajiri 項目已獲得採礦證，Sudi、Bagamoyo 項目仍在勘探階段。
根據 STA 的公吿《Strong Maiden Ore Reserve for Fungoni Heavy MineralSands Project》(2017 年 10 月 9 日在澳洲證券交易所發佈)，Fungoni 項目位於坦桑尼亞達累斯薩拉姆港約 25 公里，擁有 JORC 標準礦石資源量 2200 萬噸，平均重礦物品位 2.8%（其中 41%探明、59%控制），礦石儲量 1230 萬噸，平均重礦物品位 3.9%。
根據 STA 的公吿《Scoping Study shows Tajiri mineral sands project willdeliver strong financial returns over 23-year life》(2020 年 10 月 7 日在澳洲證券交易所發佈)，Tajiri 項目位於坦桑尼亞北部，擁有 JORC 標準礦石資源量 2.68 億噸，重礦物平均品位 3.3%。
本項目的實施，將有利於拓展公司的重砂礦資源渠道，保障公司的原料供應，進一步夯實公司發展基礎，優化公司全球業務佈局。
