特發信息(000070.SZ)：將積極採取各種措施，儘快消除相關事項的影響
格隆匯5月13日丨特發信息(000070.SZ)在投資者互動平台表示，由於交易對方利用非法手段調節收購標的東智公司對賭期間業績指標，致上市公司披露的相關年度報吿財務指標被動出現虛假記載。 公司因此於2024年5月10日收到證監會深圳監管局出具的《行政處罰及市場禁入事先吿知書》。 深交所根據2024年4月30日頒佈的最新《股票上市規則》，就公司收到證監會深圳監管局出具的《行政處罰及市場禁入事先吿知書》內容，對公司股票實施其他風險警示。 公司於2024年5月10日收到證監會深圳監管局出具的《行政處罰及市場禁入事先吿知書》，顯示公司2015年收購東志公司（後更名為東智公司）100%股權後，交易對方在後續業績對賭期間，為完成承諾業績，通過跨期調節營業成本、虛構業務等方式，虛增東智公司收入、虛增或虛減東智公司營業成本和利潤，導致公司2015年度至2018年度利潤總額虛增，2019年度利潤總額虛減，公司披露的2015年至2019年年度報吿存在虛假記載，涉嫌違反《證券法》規定。 恰深交所於2024年4月30日頒佈了最新《股票上市規則》，規範新增了關於交易所對上市公司股票實施其他風險警示的條款，其中第9.8.1條第（八）款規定：“根據中國證監會行政處罰事先吿知書載明的事實，公司披露的年度報吿財務指標存在虛假記載，但未觸及本規則第9.5.2條第一款規定情形，前述財務指標包括營業收入、利潤總額、淨利潤、資產負債表中的資產或者負債科目，深圳證券交易所將對公司股票實施其他風險警示。” 就東智公司交易對手利用不法手段，虛增東智公司收入、虛增或虛減東智公司營業成本和利潤的情況，一經公司發現、查實，立刻進行了糾正，公司已於2022年4月30日對相關年度及時進行了前期會計差錯更正並對外披露。 同時，公司立即向公安機關報案，目前犯罪嫌疑人陳傳榮、易宗湘、劉穎、王凌、劉冰涉嫌合同詐騙、職務侵佔罪一案，已由公安局移送司法部門，進入起訴階段。 證監會深圳監管局出具的《行政處罰及市場禁入事先吿知書》所涉及東智事項影響公司2015年至2019年年度報吿數據，是對公司歷史問題的處理，公司當期經營並未受到影響。 目前公司經營穩定，資金充足，注意消除對公司業績提升的不利影響，主動夯實公司資產整體效益.2024年一季度公司營業收入較去年同期增長10.02%，歸母淨利潤1,417.91萬元，經營活動產生的現金流量淨額較去年同期增長21.12%。 後續公司還將繼續努力，圍繞5G、大數據、雲計算、物聯網、人工智能等新一代信息技術的應用，爭取在智慧服務等業務板塊取得更大的突破。 公司將積極採取各種措施，儘快消除相關事項的影響，根據規範要求，爭取儘早撤銷風險警示。 公司也將引以為戒，進一步完善內控管理體系，建立健全內部監督機制，提高公司經營管理水平。
