中國能源建設(03996.HK)附屬擬受讓湖南長沙天心區部分土地使用權及地上建築物等存續資產
格隆匯4月29日丨 中國能源建設(03996.HK)公吿，於2024年4月29日，董事會審議通過關於公司附屬公司湖南省電力線路器材有限公司("湖南線材公司")擬與中國能源建設集團資產管理有限公司簽訂存續資產轉讓協議的議案，據此，湖南線材公司同意自資產公司以代價人民幣1.02億元以非公開協議轉讓方式購買湖南省長沙市天心區開鋪路88號及126號部分土地使用權及地上建築物等存續資產("目標資產")。於目標資產評估備案相關程序完成後，湖南線材公司與資產公司將正式簽訂存續資產轉讓協議。
目標資產為位於湖南省長沙市天心區新開鋪路88號及126號的兩處生產區工業房地產，包括5宗土地使用權及地上全部房屋建築物、構築物、附屬設施設備等附着物，且包括與房地產不可分割的滿足其使用功能的供水、供電、排水等相關配套設施及不可移動裝飾裝修，以及根據有關政策規定無償移交或政府收回等相關土地房產。目標資產包括土地總面積合計85,734.13平方米，建構築物總面積29,606.84平方米。
北京仁達房地產土地資產評估有限公司以2024年2月20日為評估基準日採用成本法進行評估，出具了編號為仁達房估字[2024]第202401107003854號的《房地產估價報吿》，目標資產的評估總價為人民幣102,054,700元。資產公司及湖南線材公司雙方在資產公司對上述目標資產享有所有權及能建集團備案的《房地產估價報吿》評估結果的基礎上達成存續資產轉讓協議各項條款。
目標資產未設定任何形式的擔保，包括但不限於該目標資產存在抵押、或任何影響目標資產轉讓的限制或義務。目標資產也未被任何有權機構採取查封等強制性措施。
受讓目標資產後可實現資產權、證、賬一致，有助於將目標資產納入湖南線材公司整體土地房產徵收範圍，推動企業"處僵治困"工作並盤活閒置資產。
