弘海高新資源(00065.HK)擬收購老撾泰山久久投資貿易全部股權
格隆匯4月23日丨弘海高新資源(00065.HK)發佈公吿，2024年4月22日，弘願環球(為公司的間接全資附屬公司，作為買方)與賣方(三名獨立第三方，即劉法先生、曾泉榮先生及孫光志先生)訂立買賣協議，據此，賣方有條件同意出售待售股份(相當於目標公司的全部股權)，代價為人民幣4000萬元。
茲提述弘願集團有限公司(為公司的直接全資附屬公司)、目標公司與賣方訂立的諒解備忘錄公吿，內容有關於目標公司的建議投資。2024年1月，公司已根據諒解備忘錄向目標公司支付為數人民幣3000萬元的諒解備忘錄誠意金。2024年4月22日，弘願環球、弘願集團有限公司與目標公司訂立認購協議，據此，弘願環球同意認購目標公司發行的認購股份；及已付目標公司的諒解備忘錄誠意金將抵銷認購協議項下的認購付款。注入目標公司的資金將用作開發銅礦。根據諒解備忘錄的終止條款，諒解備忘錄將於簽訂認購協議後終止。
目標公司(即老撾泰山久久投資貿易有限公司)為一家在老撾註冊成立的有限責任公司，主要從事採礦及相關活動，包括但不限於礦物勘探、開發及加工以及於國際市場進行銅的營銷。於本公吿日期，目標公司由曾泉榮先生、劉法先生及孫光志先生直接擁有52%、32%及16%。
項目公司(即老–中國際礦業獨資有限公司)為一家在老撾註冊成立的有限責任公司，持有銅礦全部股權。項目公司股權變更完成後，項目公司將由目標公司及老–中礦業分別擁有51%及49%。老–中礦業為一家於老撾成立的公司，將由一名獨立第三方俞建民先生全資擁有。銅礦位於老撾賽松奔省阿怒翁縣班鏊村。於本公吿日期，項目公司擁有銅礦的100%開採權以及持有與銅礦有關的開採許可證及選礦加工許可證。
公吿表示，訂立買賣協議及認購協議實屬集團將業務組合拓展至東南亞採礦行業的良機，除集團現有煤炭開採營運以外，預期為集團長期增長和發展作出貢獻。此外，老撾的勞動及營運成本相對低廉，成本效益上會有利於銅礦日後的財務表現。
