樂華娛樂(02306.HK)及尼斯未來訂立業務合作框架協議
格隆匯4月19日丨樂華娛樂(02306.HK)發佈公吿，於2024年4月19日，樂華有限公司（公司的全資子公司）與賣方訂立一系列交易，內容有關按總代價人民幣30.0百萬元收購目標資產：(1)與賣方I的資產轉讓協議I，據此，買方同意購買，而賣方同意出售目標資產I；(2)與賣方II及賣方III的資產轉讓協議II，據此，買方同意向賣方II及賣方III購買目標資產II;及(3)與賣方II的專利許可協議，據此，被許可人獲授權於協議範圍內執行許可專利，方式為向賣方II支付版税，為期五年，除非協議項下的任何一方要求不再重續，否則該期限將自動延期一年。
買方將向賣方I收購的資產包括與目標業務營運有關的資產，其中包括(i)代碼、(ii)版權、(iii)域名、(iv)設備及(v)賬户。買方將向賣方II及賣方III收購的資產包括(i)商標、(ii)版權及(iii)設備。
自2020年6月出道以來，A-SOUL在中國受到越來越多年輕網民的廣泛歡迎。對集團而言，跟上互聯網服務及信息技術的發展步伐至關重要，因其作為開發虛擬藝人的基礎技術，有助於提高公司在虛擬藝人領域的市場曝光度和參與度。然而，自行開發相關技術及招聘研發人員可能會產生不必要的額外開支。因此，公司擬購買目標資產，其將更高效及有效地提升公司開發虛擬藝人和進一步經營A-SOUL的綜合能力，從而保持公司在虛擬藝人領域及泛娛樂市場的領先地位。
此外，2024年4月19日，樂華有限公司及尼斯未來就目標業務營運訂立業務合作框架協議，據此，尼斯未來及其一家全資子公司將獲得樂華有限公司獨家授權，運營及管理樂華有限公司所擁有的A-SOUL及其他虛擬藝人的有關權益。
尼斯未來一直為虛擬藝人合作的重要市場參與者，多年來已積累一定的經驗。董事認為，與尼斯未來的合作將進一步增強公司於虛擬藝人市場的業務能力，並有效提升於泛娛樂市場的業務表現。
