高雅光學(00907.HK)與英皇電影訂立為期三年主參與協議 內容有關投資英皇電影一系列作品或多部電影項目組合
格隆匯4月17日丨高雅光學(00907.HK)公吿，公司作出將集團眼鏡架及太陽眼鏡製造轉型為眼鏡架及太陽眼鏡買賣("眼鏡業務")的戰略決策，以積極調整業務及降低成本，應對外界壓力，並將集團重新定位為專注於上中游眼鏡產品市場的一站式解決方案提供商。
憑藉在眼鏡行業的數十年經驗，集團已積累豐富的資產及專業知識，為向以採購為重點的業務模式過渡奠定了堅實基礎。儘管退出直接製造業務，但公司仍以強勢姿態開啟新篇章。
儘管公司立足於製造業，但其仍具備全面的眼鏡專業知識、關係及領導地位，使得集團可有效制定及執行策略以擴大采購業務規模並吸引合作伙伴及客户。這保留了公司在精進眼鏡設計、生產、質量控制及供應鏈管理過程中所形成的寶貴機構知識。公司將利用這種專業知識確保其在專注於核心採購能力的同時實現最大價值。
儘管眼鏡業務收益出現暫時下跌，但集團相信出售製造工廠不會影響與長期眼鏡客户的業務關係。儘管客户可能需要時間適應新業務模式，但集團仍是彼等採購優質眼鏡產品值得信賴的合作伙伴。失去內部製造為業務的暫時變動，而非客户關係或需求的永久丟失。通過維持強健的客户關係及充當眼鏡貿易的促進者，集團能夠隨着客户適應新業務模式而逐漸恢復收益。
集團於2017年首次開展其電影業務，並通過其附屬公司從事電影發行業務。隨後集團擴展其電影業務並於2019財年及2020財年進行兩項電影投資("電影業務")。儘管如此，電影投資的實際票房受到嚴重影響，主要乃由於疫情導致全國影院封鎖及關閉。集團隨後採取審慎態度，並暫停進行其他電影投資。另一方面，集團已通過電影發行及電影相關製作服務積極豐富其電影業務，同時尋求潛在投資機會，以抓住反彈勢頭。
隨着娛樂業務開始從疫情中復甦，集團有機會在行業價值鏈上扮演更上游的角色，並恢復進行重大電影投資。公司已與英皇電影有限公司("英皇電影")訂立為期三年的主參與協議，內容有關投資英皇電影的一系列作品或多部電影項目組合。集團認為英皇電影是香港電影業界內領先的綜合企業之一，於整個電影價值鏈中擁有廣泛的影響力。鑑於行業格局及英皇電影的獨特定位，現階段，集團認為與英皇電影的深度合作可為集團提供最直接的參與途徑。
通過投資多部電影項目組合，而非押注於單部電影，集團可合理預期，即使任何個別電影表現不佳，集團能夠隨時間的推移產生可持續回報。集團將投資於符合集團投資策略的電影，包括與集團預算及單部電影最低30%的參股率相匹配的電影。在選擇潛在電影項目投資時，集團將進行全面的獨立盡職調查。集團的內部專家將審核劇本大綱、建議選角、導演資歷、預算及目標受眾等因素，以作出投資決策。本公司作為主要的共同投資者，將在出資前提供指導核心決策的積極諮詢意見。集團亦將確保執行符合合約預期，且所有材料均符合目標地區的監管規定。於本公吿日期，集團已進行3項投資，包括《扎職2》及《不日成婚2》，並已同意及承諾投資另外3部將於2024年上映的電影。
公司看好行業的復甦前景，並致力於電影業務的長期發展。集團預計利用現有電影投資產生的內部資源為日後電影投資提供資金，並於適當時候尋求外部資金進一步擴大其投資組合。
