先河環保(300137.SZ)：控股股東和實控人將變更為姚國瑞
格隆匯4月10日丨先河環保(300137.SZ)公佈，公司控股股東青島清利新能源有限公司(以下簡稱“清利新能源”)的股東青島清能電新能源有限公司(以下簡稱“清能電”)、上海光和貿易有限公司(以下簡稱“上海光和”)、中暉控股集團有限公司(以下簡稱“中暉控股”)與山東微網新能源有限公司(以下簡稱“山東微網”)於2024年1月簽署的《山東微網新能源有限公司與青島清能電新能源有限公司、上海光和貿易有限公司、中暉控股集團有限公司關於青島清利新能源有限公司之股權收購協議》(以下簡稱“《原股權收購協議》”)於近日已經解除；另，姚國瑞先生、清利新能源、清能電、上海光和、中暉控股簽署《青島清利新能源有限公司股權收購協議》(以下簡稱“《新股權收購協議》”)，清能電、上海光和、中暉控股分別將其持有的清利新能源51%、34%、15%股權轉讓給姚國瑞先生，股權轉讓完成後，姚國瑞先生直接持有清利新能源100%股權。
2024年4月6日，李玉國先生與姚國瑞先生簽署《合作框架協議》、《股份轉讓協議》。近日，李玉國先生、清利新能源、姚國瑞先生簽署《補充協議》。李玉國先生持有公司62,990,929股股份，擬將持有的55,660,000股股份分兩次轉讓給姚國瑞先生，第一次股份轉讓數額為李玉國先生持有的目前未被質押、已不存在司法凍結等其他權利限制的公司28,780,929股股份，待李玉國先生持有的被司法凍結股份解除凍結後，李玉國先生擬向姚國瑞先生轉讓剩餘26,879,071股股份；同時，李玉國先生與清利新能源之間的表決權委託繼續有效，且李玉國先生與清利新能源繼續保持一致行動，直至李玉國先生向姚國瑞先生進行第二批標的股份(上市公司26,879,071股股份)轉讓的股份過户完成；自上述第二批標的股份轉讓的股份過户完成之次日起的18個月內，李玉國先生對於其所持公司股份行使有關的提案權、股東大會上的股東表決權時與姚國瑞先生保持一致行動，且不再與清利新能源保持一致行動。
本次權益變動完成後，姚國瑞先生將直接持有公司28,780,929股股份並通過清利新能源間接持有公司5,667,480股股份，同時，清利新能源通過李玉國先生的表決權委託可以控制公司23,088,549股股份對應的表決權，通過一致行動安排實際可以控制李玉國先生名下剩餘11,121,451股股份所對應的表決權，因此，姚國瑞先生通過上述方式實際可以控制公司68,658,409股股份對應的表決權，佔目前公司總股份的12.80%。本次權益變動完成後，姚國瑞先生將成為公司控股股東和實際控制人。
李玉國先生持有的公司34,210,000股股份已被司法凍結，存在被強制處置的風險，由此可能會影響公司控制權的穩定性。
