碧桂園(02007.HK)廣州荔灣核心區項目引資廣東中爲
碧桂園(02007.HK)公佈,於今年3月23日,間接非全資附屬廣州興承思與廣東中爲及項目公司訂立合作協議,廣州興承思及廣東中爲同意透過項目公司於廣州物業上共同建設及開發該樓宇以供出售。
項目公司於2017年通過公開市場招拍掛取得廣州物業並於2018年獲取廣州物業的土地使用權。廣州物業位於廣州市荔灣區白鵝潭商務區核心區,地盤面積爲1.4萬平方米,計容建築面積約爲20.95萬平方米,土地指定爲商業及企業用途。
廣州興承思擁有項目公司的100%股權,而項目公司則擁有廣州物業的土地使用權。根據合作協議,廣州興承思被視爲已向項目公司提供資金31億元(下同),而廣東中爲同意就項目提供進一步資金合共約28億元,以換取於合作協議日期起計60日內獲得項目公司的1%股權;廣東中爲向項目公司提供1,038萬元作爲第一項貸款後獲得項目公司的94%股權。
另外,根據廣東中爲的估計承諾金額28億元,及廣州興承思的視作承諾金額31億元,廣東中爲及廣州興承思的估計享有權將分別爲該樓宇單位及相關銷售所得款項的47.457%及52.543%。而與廣東中爲享有權比率成比例的項目公司的投票權(於封頂後、工程竣工後及第三次建議出售事項完成後將分別增至51%、95%及100%);及當廣州興承思的享有權已基本變現時獲得項目公司的100%股權。
