時代天使(06699.HK)建議修訂首次公開發售後購股權計劃
格隆匯3月21日丨時代天使(06699.HK)公吿，股東於2021年5月20日有條件批准及採納首次公開發售後受限制股份單位計劃，於2023年6月29日修訂並於2024年5月19日屆滿。首次公開發售後受限制股份單位計劃旨在認可承授人的貢獻，並提供激勵，以挽留彼等繼續投身於集團的持續營運及發展，及吸引適當人員促進集團進一步發展。
建議修訂首次公開發售後受限制股份單位計劃引致的主要變動載列如下。(a)將首次公開發售後受限制股份單位計劃的期限由採納日期起計三(3)年延長至採納日期起計十(10)年；(b)將首次公開發售後受限制股份單位計劃項下的獎勵期限由授出獎勵日期起計不超過三(3)年延長至授出獎勵日期起計不超過十(10)年；及(c)將首次公開發售後受限制股份單位計劃限額由1,658,071股股份增加至3,381,955股股份，相當於修訂日期已發行股份數目的約2%。
此外，股東於2021年5月20日有條件批准及採納首次公開發售後購股權計劃，並已於2023年6月29日進行修訂，將於2024年5月19日屆滿。首次公開發售後購股權計劃旨在吸引、挽留及鼓勵僱員、董事及有關其他參與者，及透過根據該等計劃的條款授出購股權酬謝彼等對集團的發展及溢利帶來的貢獻，並允許該等僱員、董事及其他人士參與集團的發展及盈利。
建議修訂首次公開發售後購股權計劃引致的主要變動載列如下。(a)將首次公開發售後購股權計劃的期限由採納日期起計三(3)年延長至採納日期起計十(10)年；(b)將首次公開發售後購股權計劃項下的購股權期限由授出購股權日期起計不超過三(3)年延長至授出購股權日期起計不超過十(10)年；及(c)將首次公開發售後購股權計劃限額由6,632,284股股份增加至10,145,867股股份，相當於修訂日期已發行股份數目約6%。
