連連數字(02598.HK)預計3月28日上市 引入杭州城投及杭州高新作為基石
格隆匯3月20日丨連連數字(02598.HK)發佈公吿，公司擬全球發售股份5592萬股，中國香港發售股份559.2萬股，國際發售股份5032.8萬股，另有15%超額配股權；2024年3月20日至3月25日招股，預期定價日為3月26日；發售價將為每股發售股份10.21-10.95港元，每手買賣單位500股；中金公司及摩根大通為聯席保薦人；預期股份將於2024年3月28日於聯交所主板掛牌上市。
公司是中國的數字支付解決方案提供商，具備服務世界各地客户的全球支付能力。公司提供數字支付服務及增值服務，以賦能全球貿易活動，提高資金與信息的流動效率。公司的客户主要是商業客户，包括中小商户及企業。在全球，公司幫助商户客户將銷售商品及提供服務取得的資金轉回境內，並通過公司在由全球商業銀行背書的賬户下分配給客户的虛擬賬户，實現快捷、可靠的支付。在中國，公司主要作為支付服務提供商，通過為企業客户提供數字化平台，整合終端買家在購買商品時發起的各種線上及線下支付方式的支付信息，幫助企業客户簡化其收款流程並降低運營成本。公司的服務最終促進了支付流程的完成。
公司已簽訂基石投資協議，據此，基石投資者同意(在滿足若干條件的情況下)按發售價認購或促使其指定實體(包括經中國相關部門批准的合格境內機構投資者)認購一定數量的發售股份，總購買金額3.648億港元(約4660萬美元)。假設發售價為10.58港元(即本招股章程所列指示性發售價範圍的中位數)，則基石投資者將認購的發售股份總數將為3447.8萬股。基石投資者包括杭州城投產業發展投資合夥企業(有限合夥)(“杭州城投”)及杭州高新創業投資有限公司(“杭州高新”)。
公司估計，假設發售價為每股發售股份10.58港元(即本招股章程所述指示性發售價範圍的中位數)，公司將收到的全球發售所得款項淨額約為4.85億港元(假設超額配股權及發售量調整選擇權未獲行使)，或6.684億港元(如果發售量調整選擇權及超額配股權獲悉數行使)。公司擬將所得款項淨額約60.0%將在未來五年內用於提高公司的技術能力；約30.0%將於未來五年內用於擴大公司的全球業務運營；約5.0%將於未來五年內用於未來的戰略投資及收購，以豐富公司的服務及產品，提高公司的技術能力，並加強公司的國際業務；及約5.0%預計將用於一般公司用途及營運資金需求。
