米高集團(09879.HK)預計3月21日上市 引入十月稻田等作為基石
格隆匯3月13日丨米高集團(09879.HK)發佈公吿，公司擬全球發售股份2.25億股，中國香港發售股份2250萬股，國際發售股份2.025億股，另有15%超額配股權；2024年3月13日至3月18日招股，預期定價日為3月19日；發售價將為每股發售股份3.30-4.30港元，每手買賣單位1000股；廣發融資(香港)為獨家保薦人；預期股份將於2024年3月21日於聯交所主板掛牌上市。
公司是一家中國國內鉀肥公司，擁有采購、加工及製造能力，銷售各類鉀肥產品，包括氯化鉀、硫酸鉀、硝酸鉀以及複合肥。按2022年度鉀肥銷量計算，公司在中國鉀肥公司中排名第三，按相同方式計算，公司於2022年在中國並無自有鉀礦資源的肥料公司(即非儲備型鉀肥公司)中排名第二。公司佔2022年中國鉀肥總銷量約7.1%。按2022年度的氯化鉀、硫酸鉀及硝酸鉀銷售收入計算，公司在中國鉀肥公司中分別排名第三、第四和第五，分別佔同年中國氯化鉀、硫酸鉀及硝酸鉀總銷售收入約7.0%、 4.0%及0.3%。由於公司的成都生產設施停止生產，公司自2019年1月起不再生產硝酸鉀，因此於往績記錄期間僅以轉售方式向客户銷售硝酸鉀。
公司已訂立基石投資協議，據此，基石投資者已同意在符合若干條件的規限下，按發售價認購或促使其指定實體(包括合資格境內機構投資者)認購總金額約4.185億港元可獲配售的相關發售股份數目。假設發售價定為每股發售股份3.80港元(即本招股章程所載指示性發售價範圍的中位數)，將分配予基石投資者的發售股份總數將為約1.101億股。基石投資者包括瀋陽信昌糧食貿易有限公司(十月稻田(9676.HK)的全資附屬公司)、新化科技有限公司(中國心連心(1866.HK)的控股股東)、Harvest International Premium Value (Secondary Market) Fund SPC(“Harvest”)、以及Mega Dynamic Group Limited(“Mega Dynamic”)。
假設超額配股權並無獲行使，並假設初步發售價為每股3.80港元(即指示性發售價範圍中位數)，公司估計將自全球發售獲得約7.139億港元所得款項淨額。全球發售所得款項淨額約45.2%擬用於建設黑龍江倉儲及生產中心；約28.2%將用於投資及興建公司的新四川生產設施；約約14.2%將用於為設立研發中心(“四川研發中心”)提供資金；約6.0%將用於為公司的廣東生產設施、長春生產設施及大興生產設施購買新設備和機器以更換現有設備及機器，以及購買新的環保及自動化設備和機器；以及佔全球發售所得款項淨額約6.4%將用作額外營運資金及其他一般企業用途。
