中國石墨(02237.HK)擬收購山東威海地塊用作興建提純設施及生產鋰離子電池所用的負極材料
格隆匯2月15日丨中國石墨(02237.HK)公吿，截至本公吿日期，目標公司山東芮升碳材料科技有限公司由訂約方A黑龍江省寶泉嶺農墾溢祥新能源材料有限公司及訂約方B山東威灝新能源材料有限公司分別擁有40%及60%權益。訂約方A為公司的間接全資附屬公司。訂約方A、訂約方B及目標公司同意訂立三方協議，據此訂約方B將退出參與目標公司所有事務，並由訂約方A擁有目標公司100%股權。根據三方協議的條款及條件，訂約方B透過將目標公司的註冊資本由人民幣20,000,000元減至人民幣8,000,000元，不再負責承擔目標公司註冊資本的出資責任，而訂約方A已向目標公司的總註冊資本注資及出資人民幣8,000,000元。訂約方A因上述減資而成為目標公司100%股權的擁有人。由於訂約方B不再為股東及訂約方A將成為目標公司的唯一股東，上述交易完成將導致訂約方A及本公司被視作收購目標公司。
於完成後，目標公司山東芮升碳材料科技有限公司將成為訂約方A的全資附屬公司及公司的間接全資附屬公司，而目標公司的財務業績將於公司的財務業績內綜合入賬。
於2023年5月26日，目標公司訂立國家建設用地使用權出讓合約，據此，目標公司同意收購而威海市文登區自然資源局同意轉讓該土地的土地使用權。該土地的許可用途為工業用地，土地權利期限為50年。"該土地"指位於中國山東省威海市南海新區陽光路以北及龍海東路以東佔地約185,061平方米的土地。
目標公司就收購土地權利應付的代價為人民幣55,888,422元。截至公吿日期，目標公司已支付合共人民幣27,944,211元，即土地權利總代價約50%。代價餘額將於2024年5月25日或前支付。
於完成後，公司將僅投資於土地權利收購事項。公司就土地權利收購事項應付的財務承擔約為人民幣2794.4萬元。目前預計土地權利收購事項所需資金將透過公司的內部資源及銀行融資償付。
公司主要從事提供生產及銷售鱗片石墨精礦和球形石墨。公司的鱗片石墨精礦用作耐火材料，以及生產成球形石墨以用作電子裝置及新能源汽車鋰離子電池的負極材料。作為公司球形石墨加工過程的副產品，公司亦生產及銷售微型石墨粉及高純度石墨粉。
考慮到上文所述及中國石墨市場現況，董事一直積極尋求機會以鞏固公司業務。由於董事會認為該土地可用作興建提純設施及生產鋰離子電池所用的負極材料，公司可利用該土地加強發展其石墨生產及銷售業務。藉此，公司可進一步鞏固及拓展其業務、擴大收入基礎及提高盈利能力，為其股東帶來更佳回報。收購事項為公司提供獨一無二的商機，以善用其資源擴大其基礎及網絡，並提升其品牌在中國市場的影響力。
