寧滬高速(600377.SH)：擬50億元蘇錫常南部高速公司65%股權
格隆匯1月28日丨寧滬高速(600377.SH)公佈，為進一步擴大公司在蘇南高速公路路網中的資產規模，完善主業佈局，提升可持續發展能力，於2024年1月26日，本公司(作為買方及受讓方)與江蘇交控(作為賣方及轉讓方)簽署《股權轉讓協議》，向江蘇交控協議收購其持有的蘇錫常南部高速公司65%股權，對價為人民幣5,200,650,000元(轉讓對價以評估報吿評估值為基礎按比例計算)，最終價格以國有資產管理部門備案估值為準。完成本次收購後，本公司將持有蘇錫常南部高速公司65%股權。
本次收購前必須先達成有關的先決條件，包括但不限於獲得蘇錫常南部高速公司其他股東放棄其優先購買權，本公司股東大會上獲得獨立股東的批准及轉讓方已完成股權轉讓所必需的符合有關國資監管部門等主管/監管部門規定的審批/備案程序。
此外，本公司亦與無錫市交通產業集團有限公司(以下簡稱“無錫交通”)簽訂了一份意向書以期開展商討收購其持有的蘇錫常南部高速公司22.8%的股權。預計具有法律約束力的協議條款應類似與江蘇交控簽訂的《股權轉讓協議》。價格將根據相關國有資產法規按由江蘇交控、無錫交通、常州高速公路投資發展有限公司(以下簡稱“常州高投”)共同委託進行的蘇錫常南部高速公司估值按比例計算。一旦本公司與無錫交通正式簽訂《股權轉讓協議》並完成收購，本公司將擁有及控制蘇錫常南部高速公司87.8%的絕對控制股權。如與無錫交通簽署《股權轉讓協議》時，江蘇交控仍然持有蘇錫常南部高速公司的股權，向無錫交通收購蘇錫常南部高速公司22.8%的股權將根據上海證券交易所上市規則(簡稱“上海上市規則”)第6.3.3條規定構成本公司的關聯交易。
至於由常州高投持有的蘇錫常南部高速公司12.2%的股權，截至本公吿日，本公司尚未與常州高投就股權轉讓簽訂任何框架協議、意向書或任何具有法律約束力的協議。因此，本公司積極尋求對由常州高投持有的蘇錫常南部高速公司12.2%的股權進行收購。
