邁瑞醫療(300760.SZ)：擬收購惠泰醫療部分股權 其控股股東將變更為深邁控
格隆匯1月28日丨邁瑞醫療(300760.SZ)公佈，2024年1月28日，全資子公司深邁控與成正輝、成靈、戴振華、上海惠深、上海惠療、啟華三期、啟明融科、啟明融盈、QM33(以下合稱為“轉讓方一”)簽署《股份轉讓協議》(以下簡稱“《股份轉讓協議一》”)，深邁控擬通過協議轉讓方式以471.12元/股的價格，受讓轉讓方一持有的惠泰醫療13,185,240股股份(佔標的公司總股本的19.72%)。同時，標的公司實際控制人成正輝承諾，在其根據《股份轉讓協議一》的約定收到全部股份轉讓價款之日起及之後自願、永久且不可撤銷地放棄所持標的公司10%的股份所享有的表決權。
2024年1月28日，深邁控與揚州浵旭(以下簡稱為“轉讓方二”)簽署《股份轉讓協議》(以下簡稱“《股份轉讓協議二》”)(以下與《股份轉讓協議一》合稱為“《股份轉讓協議》”)，深邁控擬通過協議轉讓方式以471.12元/股的價格，受讓轉讓方二持有的惠泰醫療935,070股股份(佔標的公司總股本的1.40%)。
2024年1月28日，深邁控與晨壹紅啟簽署《權益轉讓協議》，深邁控擬以129.28萬元的對價受讓晨壹紅啟持有的珠海彤昇全部0.12%的普通合夥權益，深邁控將成為珠海彤昇普通合夥人和執行事務合夥人，邁瑞醫療仍持有珠海彤昇99.88%的有限合夥權益，並將按《權益轉讓協議》約定完成後續工商變更登記相關手續。
本次交易完成後：深邁控將直接持有惠泰醫療14,120,310 股股份，佔惠泰醫療總股本的21.12%，深邁控的一致行動人珠海彤昇直接持有惠泰醫療2,335,296股股份，佔惠泰醫療總股本的3.49%，深邁控及其一致行動人珠海彤昇合計持有惠泰醫療16,455,606 股股份，佔惠泰醫療總股本的24.61%，惠泰醫療控股股東將變更為深邁控，實際控制人將變更為李西廷和徐航。
本次交易價格以參考惠泰醫療股票交易價格確定的惠泰醫療整體估值為基礎，並經交易各方充分協商後確定。
