王子新材(002735.SZ):擬設立海外子公司泰國天泰
格隆匯1月22日丨王子新材(002735.SZ)公佈,為了進一步開拓海外新能源、消費電子、家電等產業配套周邊材料市場,拓展海外供應鏈,推進全球化戰略,公司擬通過全資子公司深圳栢興科技有限公司(簡稱“栢興科技”)、WANGZI(THAILAND) CO., LTD.(中文名:王子(泰國)有限公司,簡稱為“泰國王子”)和深圳市創想環球貿易有限公司(簡稱“深圳創想”)與自然人胡繼承、廖仲和和呂建明,以總投資額200萬美元的自有資金在泰國共同設立子公司泰國天泰環保包裝技術有限公司(暫定名,最終以泰國屬地登記機關核定為準,簡稱“泰國天泰”)。擬設立的子公司初期註冊資本為500萬泰銖(待投資款到賬後,註冊資本將增加至200萬美元),栢興科技、泰國王子、深圳創想、胡繼承、廖仲和、呂建明分別持有股權比例為51%、30%、16%、1%、1%和1%。同時授權公司管理層辦理泰國天泰設立的有關事宜。
