與債權人小組達成協議，龍光境外債務管理取得重大關鍵性進展
1月12日，龍光集團（3380.HK）發佈公吿披露境外債務重組重大進展，公司已經與若干現有美元優先票據持有人組成的債權人小組(“AHG”)及其顧問就有關票據重組的條款達成一致，並於2024年1月12日與AHG簽署了附有該等條款的債權人支持協議。此舉意味着龍光推動境外債務管理取得重大關鍵性進展，境外債整體展期迎來曙光。
2024年1月8日，香港法院清盤呈請聆訊已進一步延期至2024年1月15日。庭上呈請人法律代表稱，債權人計劃撤銷針對龍光兩家子公司的清盤呈請。
龍光及其顧問一直在大力推進境外債務管理工作，與各債權人持續密切溝通，並結合現金流預測以及不同類別債權人的不同利益和原有法律權利，制定了切實可行、公平合理的境外重組方案。截至2023年6月30日，公司待重組境外債務的本金總額為66.49億美元，其中美元優先票據33.69億美元，佔待重組境外債務的本金總額約51%。
龍光境外債整體管理方案展現出較大誠意，這是獲得債權人小組支持的重要原因。在重組方案中，龍光提供了4個選項予境外債權人選擇，讓各債權人按其偏好及需求作出選擇。公司尋求通過去槓桿化目標約26億至30億美元，以降低境外債務，優化資產負債結構。
自公司上市以來，大股東累計已向公司提供股東無息借款 13.46 億美元，長期支持公司業務發展。大股東以最大的誠意支持公司發展及債務重組，承諾將其股東借款的 4 億美金參與本次重組減債方案，剩餘大股東借款轉為第 9 年和第 10 年到期的新票據，幫助公司降低債務負擔，優化債務結構，支持公司可持續發展。
公司將與境外重組的其他債權人就條款進行接洽，並尋求他們對境外重組條款的支持。
自出現階段性流動性壓力以來，龍光通過加快銷售回款、縮減運營開支、開展資產盤活等多種方式，全力應對困難挑戰，做好“穩經營、保交付”工作，以保護所有持份者的利益。2023年，公司生產經營正常，全年累計完成交付超5.3萬套，展現出企業的責任擔當。
業內人士認為，目前房地產行業逐步企穩，龍光與投資人小組達成協議，標誌着龍光境外債重組迎來曙光，是具有重要意義的里程碑事件，有助於加快完成公司境外債整體管理，有序化解債務壓力, 實現更穩定的資本結構，為公司穩經營、促銷售、保交付提供有力支持，加快回歸健康發展軌道，推動企業未來可持續發展。
