宋都服務(09608.HK)擬3973萬元收購杭州上城區物業
格隆匯1月5日丨宋都服務(09608.HK)公吿,於2024年1月5日,宋都物業(公司一間間接全資附屬公司)與古丈大盈訂立房屋轉讓合同,據此,古丈大盈同意按總代價人民幣3973萬元將物業的土地使用權轉讓予宋都物業,惟須待獨立股東於股東特別大會上批准後方可作實。"物業"指位於杭州市上城區旺楊街與九睦路交叉路口東南50米處的陽光景台公寓1幢102室及104室以及2幢底商1至6單元的物業,建築面積為1,588.21平方米。
集團為浙江省享負盛名的綜合物業管理服務供應商,主要從事提供物業管理服務、非業主增值服務、社區增值服務及其他業務。由於在收購事項前物業已由本集團管理,且本集團擁有管理長租公寓的經驗,故本集團認為建議收購事項將與本集團的現有業務產生良好的協同效應,並使本集團能夠利用其於物業方面的專業知識及經驗以及產生潛在租金收入。
集團不時探索投資機會,旨在提升本公司及股東的整體利益。考慮到物業處於優勢地段及周邊擁有優質的配套設施,以及在當前宏觀經濟環境下物業的價格相對較低,本集團認為物業有望於未來帶來資本增值,且建議收購事項將為本集團提供利用閒置資金(由於自2023年下半年以來中國的銀行存款利率不斷下降,故該等資金作為銀行存款產生的收益持續減少)獲利的良好機會。完成後,預計物業將用作本集團辦公場所等多種用途並供本集團用於應對其日後業務的快速發展及未來業務擴展。倘本集團未悉數使用物業,亦可出租物業以產生外部租金收入。
董事認為,收購物業以節省未來租金開支及有效降低租賃成本符合本集團的利益。收購事項將優化本集團的資產結構及提升本集團抵禦外部財務風險的能力,有利於本公司的長遠發展,符合本公司及股東的整體利益。此外,由於房屋轉讓合同項下的收購事項並無涉及物業代理,本集團無須產生任何額外傭金開支。
