深水海納(300961.SZ)擬與深開鴻、海納創展共同設立合資公司華鴻海納
格隆匯12月25日丨深水海納(300961.SZ)公佈，深水海納水務集團股份有限公司(以下簡稱"公司"、"甲方")擬與深圳開鴻數字產業發展有限公司(以下簡稱"深開鴻"、"乙方")、深圳市海納創展科技有限公司(以下簡稱"海納創展"、"丙方")共同設立華鴻海納物聯技術(深圳)有限公司(以下簡稱"華鴻海納"，暫定，最終以市場監督管理部門核定為準)。華鴻海納註冊資本金擬為人民幣 1,000 萬元，其中，公司擬認繳註冊資本人民幣 510萬元，持股比例為 51%；深開鴻擬認繳註冊資本人民幣 200 萬元，持股比例為20%；海納創展擬認繳註冊資本人民幣 290 萬元，持股比例為 29%。
合作內容
各方一致承諾全力支持合資公司開展基於乙方開鴻操作系統 (KaihongOS)的以下業務且同意合資公司擁有合資公司自主研發的下列產品相關的軟件著作權及產品專利權:
(1)面向水利、海洋、環保、水務及相關市政設施的開鴻操作系統(KaihongOS) 和行業應用軟件開發、銷售;並同意在合資公司存續期間，上述領域相關業務拓展上，涉及開源鴻蒙相關業務及產品研發，都基於乙方產品及平台進行。
(2)為基於 KaihongOS 開發的所有工業用電氣品，包括但不限於可編程序控制器 (PLC)、變頻器、逆變器、轉換器等的開發、銷售。
(3)為建立開鴻操作系統 (含開鴻實時操作系統) 在各應用領域的配套硬件開發、設計，包括但不限於物聯網應用模塊、數據採集、數據傳輸和邊緣運算模塊和產品、其它工控接口模塊、RTU 模塊產品、智能裝備等。
(4)合資公司為其它行業開發、設計的軟硬件產品。
本次對外投資新設合資公司暨關聯交易事項系各方充分發揮各自優勢，共同推動構建水利、海洋、環保、水務及相關市政設施的開鴻生態，將主要進行特定行業開鴻操作系統的研發和發行銷售、基於開鴻 OS 的 PLC 等工業控制軟硬件電氣產品的研發生產和銷售推廣、基於 KaihongOS 的儀器儀表、數據採集、數據傳輸、邊緣運算等軟硬件產品的研發生產和銷售推廣、基於 KaihongOS 的特定行業業務軟件系統(含數字孿生系統)的開發運營和銷售推廣等。本次對外投資及合作，將加快推動公司在生態環境智慧治理和智慧水務運營管理領域的數字化佈局和發展。
