嘉耀控股(01626.HK)擬4746.6萬港元出售Giant Harmony30%股本
格隆匯12月22日丨嘉耀控股(01626.HK)公吿，於2023年12月22日，公司、買方Master Bliss Holdings Limited、擔保人及湖北金三峽訂立買賣協議，據此，公司已有條件同意出售及買方已有條件同意購買待售股份(佔目標公司Giant Harmony Limited已發行股本30%)，代價為4746.6萬港元。於完成後，公司仍將為目標公司全部已發行股本70%法定及實益擁有人。目標公司將仍為公司附屬公司及其財務業績將仍於集團財務報表綜合入賬。
就買賣協議而言，於完成日期，買方將以公司為受益人籤立股份質押，以擔保買方履行第三筆款項的支付義務。於公吿日期，目標公司為一間根據英屬處女羣島法律註冊成立有限公司及公司全資附屬公司。
