華富建業金融(00952.HK)擬收購富中集團股權
格隆匯12月19日丨華富建業金融(00952.HK)發佈公吿，2023年12月18日，陳少揚先生(作為賣方)與Well Foundation(公司的直接全資附屬公司)(作為買方)訂立收購事項買賣協議，據此，Well Foundation有條件同意購買，而陳先生有條件同意出售富中銷售股份(相當於收購事項買賣協議完成後富中經擴大全部已發行股本15.72%)，代價為1.2億港元。緊隨收購事項買賣協議完成後及假設富中已發行股本並無其他變動，Well Foundation將持有富中經擴大全部已發行股本15.72%。
同日，公司的直接全資附屬公司華富建業財務(作為賣方及轉讓人)與富中(作為買方及承讓人)訂立貸款轉讓買賣協議，據此，華富建業財務有條件同意出售及轉讓，而富中有條件同意購買及承讓萬海貸款，代價為相當於萬海貸款於貸款轉讓買賣協議日期的面值，其將透過向華富建業財務配發及發行代價股份的方式結算。緊隨貸款轉讓買賣協議及收購事項買賣協議完成後，並假設富中已發行股本並無其他變動，Well Foundation及華富建業財務將分別持有富中經擴大已發行股本約14.60%及7.12%。
2023年12月18日，華富建業財務(公司的直接全資附屬公司)、國義控股及富中訂立出售事項買賣協議，據此，華富建業財務及國義控股(作為賣方)有條件同意出售且富中(作為買方)有條件同意購買萬海銷售股份，相當於萬海金融全部已發行股本，代價約為4.71億港元，其將透過向華富建業財務及國義控股配發及發行代價股份的方式結算。
出售事項買賣協議完成後及假設(i)收購事項買賣協議及貸款轉讓買賣協議均吿完成；(ii)根據出售事項買賣協議及貸款轉讓買賣協議配發及發行的代價股份並無調整；及(iii)富中的已發行股本總額並無其他變動，華富建業財務、Well Foundation、國義控股及陳先生各自將分別持有富中已發行股本約11.78%、9.28%、29.19%及49.75%，經根據貸款轉讓買賣協議及出售事項買賣協議配發及發行合共6,941股經擴大的代價股份。
由於該等交易(包括(i)以現金代價1.2億港元向陳先生收購富中15.72%股權；(ii)轉讓萬海貸款予富中，代價相當於萬海貸款的面值，以於貸款轉讓買賣協議日期換取富中股份作為代價股份；(iii)向富中出售萬海金融19.9%股權以換取富中股份作為代價股份)預期將於12個月期間內完成，且彼此相關，根據上市規則第14.22條，彼等可能須合併計算，猶如彼等為一項交易。
富中集團有限公司於2023年9月4日在英屬維爾京羣島註冊成立，尚未開展任何業務活動。於本公吿日期，富中由陳先生全資擁有。萬海金融為一間於香港註冊成立的有限公司，主要從事投資控股。於本公吿日期，萬海金融由國義控股及華富建業財務分別持有80.1%及19.9%股權。除持有萬海證券外，萬海金融並無進行任何業務。僅於收購事項買賣協議完成後，集團將擁有富中的15.72%權益，並將按公平值入賬列為投資。收購事項買賣協議及貸款轉讓買賣協議及╱或出售事項買賣協議完成後，集團將擁有富中超過20%權益，並將按權益會計法入賬列為聯營公司。
