港華智慧能源(01083.HK)擬收購上電能源50%股權、吉電能源50%股權及宿遷光伏100%股權
格隆匯12月8日丨港華智慧能源(01083.HK)發佈公吿，於2023年12月8日，買方(公司全資附屬公司)訂立轉讓協議，向賣方收購其於上電能源所持50%、于吉電能源所持50%及於宿遷光伏所持100%全部股權，代價分別為人民幣7,371,549元、人民幣603,912元及人民幣53,118,256元。
上電能源主要業務活動：以長三角經濟圈為基地發展的再生能源項目(包括太陽能（光伏)、生物質及風能)及輕資產服務項目(包括光伏、節能、儲能、充電及換電以及虛擬電廠等項目的開發、建造、營運及維護)。
吉電能源主要業務活動：投資於地面分佈式光伏電站。
宿遷光伏(及其附屬公司)主要業務活動：以宿遷市為基地發展的再生能源(包括太陽能（光伏))項目。
目前正值集團與國家電投建立長期戰略合作伙伴關係之際，而上海電力乃國家電投的重要骨幹企業，目前正在中國大力發展再生能源及綜合智慧能源項目。通過上電能源，集團可望受惠於上海電力豐富的電力市場資源、效益及經驗以及低廉的融資成本，從而更快速有效地發展及開展全面的智慧能源業務。大力發展分佈式光伏項目及試行資產管理模式，亦將為集團與國家電投的戰略合作帶來實際效益及成功的參考範例，並將加強公司在智慧能源業務的領導地位。
吉電股份乃國家電投的重要骨幹企業，已在中國東北、西北、東部、中部、北部地區30多個省、市及自治區建立新能源基地。通過吉電能源，集團可望受惠于吉電股份豐富的電力市場資源、效益及經驗以及低廉的融資成本，從而更快速有效地發展及開展全面的智慧能源業務。吉電能源可藉助吉電股份與地方政府及企業的深入合作，以及集團在能源規劃、方案設計、營運管理及優質服務方面的專業知識，通過開發再生能源及智慧能源項目，建立互利互惠的戰略合作關係。收購宿遷光伏將有利於集團在宿遷市發展再生能源及智慧能源項目。
