欣鋭科技(300745.SZ)：擬推2023年限制性股票與股票期權激勵計劃
格隆匯12月7日丨欣鋭科技(300745.SZ)公佈2023年限制性股票與股票期權激勵計劃(草案)，本激勵計劃擬向激勵對象授予的股票權益(第二類限制性股票和股票期權)合計不超過1200萬股，約佔本激勵計劃草案公吿時公司股本總額16,568.8471萬股的7.24%。其中首次授予權益1070萬股，佔本計劃授予總量的89.17%，約佔本激勵計劃草案公吿時公司股本總額的6.46%；預留授予權益共計130萬股，佔本計劃授予總量的10.83%，約佔本激勵計劃草案公吿時公司股本總額的0.78%。具體如下：
(一)第二類限制性股票激勵計劃：公司擬向激勵對象授予的第二類限制性股票數量為400萬股，約佔本激勵計劃草案公吿日公司股本總額的2.41%，佔本激勵計劃擬授出權益總數的33.33%。其中，首次授予357萬股；預留43萬股。
(二)股票期權激勵計劃：公司擬向激勵對象授予的股票期權數量為800萬份，約佔本激勵計劃草案公吿日公司股本總額16,568.8471萬股的4.83%，佔本激勵計劃擬授出權益總數的66.67%。其中，首次授予713萬份；預留87萬份。
本激勵計劃第二類限制性股票的授予價格為22.26元/股，股票期權的行權價格為31.79元/股。
本激勵計劃首次授予的激勵對象總計196人，包括公吿本激勵計劃時在公司(含下屬子公司，下同)任職的公司董事、高級管理人員、中層管理人員、核心技術(業務)骨幹和董事會認為需要激勵的優秀人才。
第二類限制性股票激勵計劃：自第二類限制性股票首次授予之日起至全部歸屬或作廢失效之日止，最長不超過64個月，本激勵計劃首次授予的第二類限制性股票在首次授予日起滿12個月後分3期歸屬，每期歸屬的比例分別為30%、30%、40%。
股票期權激勵計劃：自股票期權首次授權日起至全部股票期權行權或註銷之日止，最長不超過64個月，本激勵計劃首次授予的股票期權在首次授權日起滿12個月後分3期行權，每期行權的比例分別為30%、30%、40%。
