中國金控(00875.HK)附屬向廣州從化糧食發展集團轉讓廣東從玉進出口49%股權
格隆匯11月21日丨中國金控(00875.HK)公吿，於2023年11月16日，公司附屬公司廣東從玉農業集團有限公司向廣州從化糧食發展集團有限公司("廣州從化糧食發展")轉讓廣東從玉進出口貿易有限公司("廣東從玉進出口")49%股權。
混改將認真落實從化區"1+3+5+N"產業政策體系文件精神和廣州市從化區科技工業商務和信息化局發佈的《廣州市從化區促進商貿服務業發展扶持辦法》(從科工商信規字(2023)5號)的指導思想，並考慮集團未來發展的需要。混改的代價為人民幣4,900,000元，乃根據廣州從化糧食發展於廣東從玉進出口註冊股本持有的相關股權百分比釐定。於混改後，廣東從玉進出口的註冊股本分別由集團及廣州從化糧食發展持有51%及49%。
廣州從化糧食發展為於中國成立的國有企業，由中國廣州市從化區政府國有資產監督管理局全資擁有。據董事經作出一切合理查詢後所深知、盡悉及確信，於混改前，廣州從化糧食發展及其最終實益擁有人均為獨立於本公司及其關連人士(定義見香港聯合交易所有限公司證券上市規則("上市規則"))第三方。
公司業務策略為不時探索潛在業務及投資機會，以提升公司股份價值。廣州從化糧食發展主要從事食品及農產品加工、糧食、食品(僅預包裝食品)、飼料原料、未加工堅果及乾果銷售。混改使本集團能夠與國有企業合作，拓寬集團的銷售渠道及豐富集團農業及肉類業務的產品種類，提高本集團盈利能力併為股東帶來更可觀的回報。
廣東從玉進出口截至2023年12月31日止年度的年度銷售金額預期約為人民幣60億元。董事會認為，廣州從化糧食發展參與混改，將向外部投資者發出廣州從化糧食發展看好集團前景的積極訊號，會增強外部投資者對集團未來發展的信心。董事(包括獨立非執行董事)認為，混改乃於公司日常及一般業務過程中進行，混改的條款屬公平合理，按一般商業條款訂立，並符合公司及股東整體利益。
