山西安裝(02520.HK)預計11月22日上市 引入明陽智能作為基石
格隆匯11月10日丨山西安裝(02520.HK)發佈公吿，公司擬全球發售約3.33億股股份，中國香港發售股份3333.4萬股，國際發售股份3億股；2023年11月10日至11月15日招股，預期定價日為11月15日；發售價將為每股發售股份2.10-2.36港元，每手買賣單位2000股；華泰國際及山證國際為聯席保薦人；預期股份將於2023年11月22日於聯交所主板掛牌上市。
集團是一家總部位於中國山西省太原市的工程服務商。集團從事專業工業工程、專業配套工程、其他工程及非工程業務。於往績記錄期間，集團的大部分收入來自山西省。於2022年，集團為山西省按收入計的最大專業工業工程承包商，市場份額為3.0%。集團的歷史可追溯至1952年，集團的前身為中國最早從事工業設備安裝的公司之一。根據弗若斯特沙利文的資料，集團是山西省最早的工程承包公司之一，也是中國首批獲得質量管理體系認證的工程承包公司之一。集團致力於在工程服務全週期內為客户提供全過程、全生產鏈及一體化的專業系統服務。
集團已與明陽智能(601615.SH)訂立基石投資協議。基石投資者已同意在若干條件的規限下，認購或促使其指定實體認購相關數目的發售股份，該發售股份可按發售價購買，總額為1.57億港元。假設發售價為2.23港元(即本招股章程所載指示性發售價範圍的中間值)，基石投資者將予認購的發售股份總數將為7040.2萬股發售股份。
假設發售價為每股股份2.23港元(即指示性發售價範圍的中間值)及超額配股權未獲行使，預計將從全球發售收取所得款項淨額6.683億港元。集團擬將該等全球發售所得款項淨額約50%用於資助公司新能源項目。為落實“投資多元化及投資建造營運一體化”發展戰略，集團擬將分配予此項的所得款項用於新能源項目的權益投資。集團擬與其他民營企業合作投資建設私有設施，通過運營有關設施獲得利潤；約32%將用於股權投資承擔提供資金，通過為集團現有及新PPP項目而設的相關項目公司繳足註冊資本的方式完成；約10%將用於資助新能源上下游製造產業項目，主要支出包括購買塔筒生產線設備和相關配套設施、購買鋼材、水泥、混凝土等原材料和支付園區建設工程款等；以及約8%用於營運資金及一般公司用途，並於上市後六個月內動用有關所得款項。
