北京能源國際(00686.HK)建議削減股份溢價進賬額抵銷累計虧損
北京能源國際(00686.HK)公布,建議削減股份溢價產生的進賬額約84.45億元,用作抵銷公司於6月底的累計虧損;以及削減股份溢價產生的餘下進賬額約23.62億元撥入繳入盈餘賬,董事可根據章程細則及所有適用法例,全權酌情使用繳入盈餘賬,包括抵銷任何累計虧損。
董事建議削減股份溢價,因為並無必要將股份溢價賬維持在目前的水平。此外,受公司法項下的限制所規限,除有限情況外,股份溢價賬的進賬資金一般不可分派予股東,相信可按董事會認為適當的方式,較廣泛地應用繳入盈餘賬的進賬額。
