亞洲聯網科技(00679.HK)擬收購香港新界兩處物業
格隆匯11月2日丨亞洲聯網科技(00679.HK)發佈公吿,2023年11月1日,買方I(信騰發展有限公司,公司的間接全資附屬公司)、泛華建設及瑞天訂立股份轉讓協議I,據此,買方I有條件同意收購銷售股份I及接受轉讓股東貸款I,而泛華建設及瑞天有條件同意出售銷售股份I及轉讓股東貸款I,代價為8240.5萬港元,將由買方I發行的免息無抵押承兑票據支付。股份轉讓協議I完成後,目標公司I將成為公司的間接全資附屬公司。
同日,公司的間接全資附屬公司買方II(即展邦有限公司)及深圳華盛訂立股份轉讓協議II,據此,買方II有條件同意收購銷售股份II及接受轉讓股東貸款II,而深圳華盛有條件同意出售銷售股份II及轉讓股東貸款II,代價為5928.4萬港元,將由買方II發行的免息無抵押承兑票據支付。股份轉讓協議II完成後,目標公司II將成為公司的間接全資附屬公司。
目標公司I(即卓寶置業有限公司)為一間於香港註冊成立的有限公司,主要從事物業投資。目標公司I的主要資產為物業I,該物業受目標公司I於2023年6月2日以亞洲聯網集團管理為受益人訂立的第一按揭所規限。於本公吿日期,目標公司I由泛華建設及瑞天分別擁有70%及30%股權。物業I為位於香港新界荃灣海盛路3號TML廣場的若干單位及停車位。
目標公司II(即盛基房地產投資有限公司)為一間於香港註冊成立的有限公司,主要從事物業投資。目標公司II的主要資產為物業II,該物業受目標公司II於2021年3月31日以銀行為受益人訂立的第一按揭所規限。於本公吿日期,目標公司II由深圳華盛全資擁有。物業II為位於香港新界沙田安耀街5號W Luxe的若干單位及停車位。
公吿表示,集團一直積極尋求商機,以多元化及擴闊集團的收入來源,併為股東創造回報及長期價值。集團擬於收購事項完成後出租物業I及物業II,為集團帶來穩定的收入來源。收購事項的代價將透過免息無擔保承兑票據支付,該等承兑票據將轉讓予集團以保障擔保負債。因此,集團無須立即支付現金即可收購該等物業,且收購事項可為擔保負債的信用增級。
