佛朗斯股份(02499.HK)預計11月10日上市 引入柳工作為基石
格隆匯10月31日丨佛朗斯股份(02499.HK)發佈公吿，公司擬全球發售1213.6萬股股份，中國香港發售股份121.36萬股，國際發售股份1092.24萬股，另有15%超額配股權；2023年10月31日至11月3日招股，預期定價日為11月3日；發售價將為每股發售股份14.18-16.18港元，每手買賣單位200股；海通國際為獨家保薦人；預期股份將於2023年11月10日於聯交所主板掛牌上市。
公司是中國領先的場內物流設備解決方案提供商。於往績記錄期間，公司主要提供場內物流設備訂用服務，於2020年、2021年及2022年以及截至2023年4月30日止四個月，場內物流設備訂用服務分別貢獻公司總收入的65.2%、63.0%、61.8%及55.9%。此外，公司亦提供維護維修服務及場內物流設備及配件銷售。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件規限下按發售價認購以合共人民幣1億元(約1.09億港元)可購買的一定數目的發售股份。假設發售價為15.18港元(即本招股章程所載發售價範圍的中位數)，則基石投資者將予認購的發售股份總數將為718.08萬股發售股份。基石投資者柳工機械香港有限公司(“柳工機械”)是柳工(000528.SZ)的全資子公司。
假設超額配股權未獲行使，且發售價為每股股份15.18港元(即本招股章程所述指示性發售價範圍的中位數)，公司將收到全球發售所得款項淨額約1.268億港元。假設發售價為發售價範圍的中位數，公司目前擬使用所得款項淨額45.0%用於提升公司的服務能力、提高客户覆蓋及拓展場內物流設備品類；20.0%將用於擴大及升級公司的供應鏈基礎設施，包括根據公司的策略完善現有供應鏈設施及建設新供應鏈基地；15.0%將用於提升公司的技術能力及基礎設施；10.0%將用於實施與公司的區域佈局、行業重心、業務重點相匹配的戰略併購；以及10.0%將用作公司的一般營運資金及一般公司用途。
