融眾金融(03963.HK)獲金榜集團折讓約9.52%提收購要約
格隆匯10月30日丨融眾金融(03963.HK)發佈公吿，於2023年10月30日，要約人金榜集團控股有限公司(作為賣方)與公司(作為買方)訂立收購協議，據此，公司有條件同意收購而要約人有條件同意出售收購股份(佔目標公司至豐環球有限公司(公司非全資附屬公司)已發行股本49%)，代價為17,500,000港元，將通過向要約人發行及配發代價股份的方式予以支付。
合共46,052,632股代價股份將予發行及配發，佔公司截至本聯合公吿日期現有已發行股本約10.95%及公司經配發及發行代價股份及認購股份後擴大已發行股本約7.94%。於收購完成後，目標公司將成為公司全資附屬公司。
此外，於2023年10月30日，要約人(作為認購人)與公司(作為發行人)訂立認購協議，據此，要約人有條件同意認購而公司有條件同意發行及配發認購股份，認購價為0.38港元，其中要約人應付總代價將以抵銷貸款資本化金額的方式支付。收購完成及認購完成互為條件且應同時進行。
於本聯合公吿日期，要約人本身擁有8,250,000股股份，或公司總投票權約1.96%及本金額為2,541,000港元的可換股債券。要約人一致行動集團直接或間接擁有172,290,145股股份，或公司總投票權約40.95%。
於收購完成及認購完成後，要約人一致行動集團將於公司總投票權約57.16%中擁有權益。根據收購守則規則26.1，於收購完成及認購完成後，要約人須就所有已發行股份作出強制性無條件現金要約。每股要約股份的股份要約價0.38港元，較2023年10月30日收市價每股0.420港元折讓約9.52%。
要約人為一家投資控股公司並於香港註冊成立為有限責任上市公司。要約人股份於聯交所的上市地位自2021年8月2日起被撤回。要約人及其附屬公司的主要業務活動為(i)於中國提供物業技術服務；及(ii)於中國提供金融服務業務，包括融資及融資租賃服務、保理服務及汽車租賃服務。
要約人無意因完成要約而終止僱用集團任何僱員，或對任何聘用作出重大改變，或出售或重新分配集團於集團一般及日常業務過程中的固定資產。然而，要約人保留在其認為必須或適當的情況下對集團業務及營運作出改進的權利，以優化集團的價值。
