中國重汽連續三年榮獲深交所信息披露考評A類評級
深交所日前公佈了2022年信息披露考評情況，其中，中國重汽(000951.SZ)榮獲A(優秀)評級。這是中國重汽連續三年獲得該類評級，公司長期在信息披露、規範運作等方面的工作質量獲得認可。
深交所信息披露考評分為A至D四類，主要依據上市公司信息披露質量，同時結合上市公司規範運作水平、對投資者權益保護程度等因素，對上市公司進行綜合評價。數據顯示，在2022年度信息披露考評中，獲得A類評級的深交所主板上市公司不足兩成，共計296家，佔比19.88%。
今年8月，深交所對上市公司信息披露評價標準進行修訂，發佈了《上市公司自律監管指引第11號——信息披露工作評價(2023年修訂)》(以下簡稱《評價指引》)，進一步優化完善評價機制。根據《評價指引》，獲評A類評級的上市公司不僅在信息披露質量上有較高要求，同時也考驗了公司在業績、履行社會責任、避免重大負面輿情等方面的工作情況。
新版《評價指引》注重信息披露的規範性和有效性，在考核評價時所佔權重較高。提高投資者回報水平、積極回覆投資者問題等投資者管理內容和履行社會責任披露情況也被視為"加分項"。同時，上市公司受到自律監管措施、紀律處分等情況，將會嚴重影響考評成績。
根據《評價指引》，上市公司出現多類情形將無法獲得A類評級，如上市當年營業利潤比上年下滑50%以上、最近一個會計年度盈利低於盈利預測、因違規行為被中國證監會及其派出機構採取行政監管措施等。
在嚴格的考評機制下，中國重汽連續多年獲得A類評級，證明了公司信息披露、公司治理等工作的專業性和規範性。公開資料顯示，2022年，中國重汽共發佈公吿109份，約54.9萬字，完成定期報吿、會議決議、關聯交易、權益分派、募集資金使用與管理、回購股份等公司重大事項的信息披露工作。
投資者管理方面，2022年度，中國重汽在定期報吿披露後積極召開業績説明會以及投資者網上集體接待日等活動，共計 100 餘家機構和個人投資者參會。公司共接待 70 餘場機構調研，通過互動平台及時回覆個人投資者提出的問題125條，保障中小股東對公司生產經營的知情權。此外，中國重汽自2022年起開始披露ESG報吿，將ESG理念全面融入企業的生產與運營環節，提高公司可持續發展水平。
信息披露考評結果將對上市公司相關工作的便利性有所影響。《評價指引》顯示，上市公司再融資、併購重組等事項進行審核時，深交所會將信息披露評價結果納入考量範圍。最近一年獲評A類的上市公司，深交所重組審核機構及再融資審核機構依據相關規定可以減少問詢輪次或者不進行審核問詢。
