潼關黃金(00340.HK)擬不超1億港元購買Keyman Capital 51%股權
格隆匯10月15日丨潼關黃金(00340.HK)公吿，於2023年10月14日，公司一間全資附屬公司(作為買方)與Prasannan Nediyedath博士(作為賣方)訂立買賣協議，據此，買方有條件同意購買而賣方有條件同意出售目標公司Keyman Capital Limited的51%股權，代價不超過1億港元，其將透過根據特別授權發行代價股份的方式償付。
最多1.25億股代價股份相當於(i)公司現有已發行股本約3.07%；及(ii)經發行代價股份擴大後公司已發行股本約2.98%。每股代價股份0.80港元發行價，較10月13日收市價每股0.44港元溢價約81.8%。
作為完成的先決條件之一，公司與目標公司須於公司成功完成金額不少於4000萬美元的集資後訂立貸款協議，據此，公司同意借出而目標公司同意借入本金額為800萬美元的貸款，期限為12個月，該期限可予延長(如適用)。
目標公司主要資產為其於項目公司的51%股權。項目公司為根據馬達加斯加法律於2017年11月7日註冊成立的有限公司。於本公佈日期，項目公司由目標公司、賣方、Razakatsifera Maherinirina Jean Thierry、Andrianalisoa Vonimanitra Ralison、EmmanuelHeriniaina及Randriamanantena Betsara Joachim分別擁有51%、43%、2%、2%、1%及1%權益。
目標集團主要從事採礦及相關活動業務，特別是針對國際市場的黃金礦產勘探、開發、加工及銷售。於本公佈日期，目標公司透過項目公司持有采礦許可證，並正就金礦獲取開採許可證，預期將於買賣協議日期起計六個月內取得。
董事相信，收購事項(倘落實)將為集團現有業務帶來協同效應，集團將能夠進一步大幅擴大其自有礦產組合，以支持集團在增長及盈利潛力方面的可持續發展。
