美圖公司(01357.HK)：Pixocial獲戰投2200萬美元
格隆匯10月12日丨美圖公司(01357.HK)公吿，有關Pixocial(公司直接全資子公司)股權融資的股份認購協議於2023年10月12日訂立，而公司將透過本次股權融資為Pixocial籌集2200萬美元。本次股權融資的主要領投方為背靠富達(Fidelity)的全球性自營投資公司Eight Roads，其成功的投資項目包括全球領先電商平台阿里巴巴及領先跨境支付服務供應商PingPong。另外，FutureX旗下的兩隻專項基金(FutureX A7和FutureX ICT)連同公司也作為跟投方參與此輪股權融資。
打造具影像生產力App和發展全球化業務乃公司的核心戰略。此次引入國際知名基金將為公司全球業務擴充運營資金，提升品牌形象及拓展全球視野。公司相信，以上投資者的引入將進一步帶動Pixocial業務進入全球生態。例如，憑藉廣泛的全球合作關係網絡，上述投資者能夠為Pixocial引薦頂級行業資源和分享不同市場的獨特專業見解等。
交割後，公司將仍然繼續持有Pixocial約80.62%的股份，而Pixocial的財務業績亦將繼續併入公司合併財務報表。
據悉，Pixocial Singapore為一家根據新加坡法律註冊成立的私人股份有限公司，主要從事廣吿活動、產品營銷、業務開發及投資控股。於本公吿日期，Pixocial Singapore為Pixocial全資子公司。
董事會認為，將國際知名基金納入股權融資的投資者及為Pixocial籌資是實現公司核心戰略之一發展全球化業務的里程碑。尤其是，股權融資將有益於集團(包括Pixocial及其子公司)，理由如下：(i) 擴充Pixocial及其子公司的營運資金，將促進及優化其業務營運(如招募新人才、提升營運本地化及增加其產品的銷售及市場推廣投入)；(ii) 提升Pixocial的國際品牌形象，促進全球內容協作生態系統建設，獲得用户及各業務夥伴的更多認可；(iii) 促進Pixocial董事會的多元化及專業化發展，帶來更廣闊的全球視野；及(iv) 因股權融資而採納的Pixocial期權計劃將吸引全球人才，激勵Pixocial及其子公司的核心管理人員為推動Pixocial及其子公司全球業務發展而奮鬥。
股份認購協議的所得款項計劃將由Pixocial及其子公司用於資本開支及一般營運資金，推動Pixocial及其子公司的業務擴張和未來發展。授出贖回權為股權融資的重要部分，且僅能在任何贖回事件發生時行使。董事認為，股權融資及授出贖回權乃按正常商業條款作出，屬公平合理，並符合公司及其股東的整體利益。
