帝王實業控股(01950.HK)斥3,000萬元人幣向執董收購杭州物業
帝王實業控股(01950.HK)公布,以3,000萬元人民幣(下同)向執行董事陳華收購杭州一項物業,代價將通過內部資源撥付。
物業位於浙江省杭州市西湖區三墩鎮智匯眾創中心1號樓16層及17層,總建築面積約為3,085平方米。公司於2013年向一名獨立第三方訂立物業轉讓協議,其後該名獨立第三方進行破產重組,公司當時無法取得物業相關所有權證書。為減輕物業業權之不確定性,於2018年以3,000萬元向陳華轉讓物業,並租回作辦公室及研發用途。今次收購便於連續性,令公司能夠專注於核心業務活動,而毋須考慮搬遷或重新協商租賃協議。
公司已委任力高企業融資為獨立財務顧問,就收購事項是否屬公平合理向獨立股東作出建議。
