皇璽集團(08300.HK)：74.88%股權易手天盾投資及其一致行動人致提全面要約 明日復牌
格隆匯10月9日丨皇璽集團(08300.HK)公佈，董事會獲售股股東吿知，於2023年9月29日：
(i)要約人天盾投資(作為買方)與售股股東(作為賣方)訂立買賣協議1，據此，售股股東同意出售，要約人則同意收購待售股份(即合共17.29億股股份，佔公司於聯合公佈日期已發行股本總額約65.42%)的全面合法實益擁有權及權益，總代價為5534.21萬港元，相當於每股待售股份0.032港元；及
(ii)江婉雯(作為買方)與Fortune Round(作為賣方)訂立買賣協議2，據此，Fortune Round同意出售，江婉雯則同意收購待售股份(即合共2.50億股股份，佔公司於聯合公佈日期已發行股本總額約9.46%)的全面合法實益擁有權及權益，總代價為800萬港元，相當於每股待售股份0.032港元。
要約人根據買賣協議1於完成日期(即2023年10月3日)以現金向售股股東支付全部代價。江婉雯亦根據買賣協議2於完成日期(即2023年10月3日)以現金向FortuneRound支付全部代價。
緊隨完成後及於聯合公佈日期，要約人、要約人的最終實益擁有人(即周峯)及任何彼等的一致行動人士(包括江婉雯)持有合共21.28億股股份(包括周峯持有的1.49億股股份、要約人持有的17.29億股股份及江婉雯持有的2.50億股股份)，合共佔公司全部已發行股本約80.52%。
根據收購守則規則26.1及13.5，於完成後，要約人須提出強制性無條件現金要約，每股要約價為0.032港元，較股份於最後交易日收市價折讓約81.92%。
據悉，要約人為一間於2023年7月11日在英屬處女羣島註冊成立並以持有股份為目的的有限公司。於聯合公佈日期，要約人由周峯合法實益全資擁有，周峯亦為要約人之唯一董事。
江婉雯於香港上市證券買賣方面擁有逾15年經驗。緊接完成前，江婉雯並無持有任何股份權益。彼獲周峯(為要約人的最終實益擁有人、買賣協議1的買方及江婉雯的朋友)邀請投資公司。
此外，公司已向聯交所申請自2023年10月10日(星期二)上午九時正起恢復股份買賣。
