麥迪衞康(02159.HK)擬出售北京領創醫谷科技發展的股權
格隆匯10月3日丨麥迪衞康(02159.HK)發佈公吿，2023年9月30日，北京麥迪衞康(集團的中國經營實體之一)、賣方1、賣方2、投資者、現有股東及目標公司訂立該協議，據此，(i)投資者同意認購目標公司的註冊資本，總代價為人民幣5250萬元(即認購事項)；及(ii)賣方有條件同意出售，而投資者有條件同意收購銷售股權(相當於經認購事項擴大後目標公司的7.7893%股權)，總代價為人民幣5250萬元(即出售事項)。其中，北京麥迪衞康有條件同意出售目標公司2.2255%股權，代價為人民幣1500萬元。
賣方包括深圳市同創中科前海科控天使創業投資合夥企業(有限合夥)，及北京同創共享醫療股權投資基金合夥企業(有限合夥)。投資者包括北京達晨財智中小企業發展基金合夥企業(有限合夥)、深圳市財智創贏私募股權投資企業(有限合夥)，以及揚州啟豐創業投資合夥企業(有限合夥)。現有股東包括Xu Tianrui先生、Yang Weihua先生、 Ding Shan先生、雲帆弘毅、 領創共贏及領創未來。
目標公司(即北京領創醫谷科技發展有限責任公司)經營範圍包括技術開發、技術諮詢、技術服務、技術轉讓、技術推廣；承辦展覽展示；會議服務；計算機系統服務；企業策劃、翻譯服務；機械設備租賃；銷售辦公用品、計算機軟硬件及輔助設備、醫療器械(限一類)；貨物進出口；技術進出口；代理進出口。
公吿表示，集團就投資目的收購目標公司權益。目標公司於截至2022年12月31日止兩個年度及截至2023年6月30日止六個月一直錄得虧損，且集團自收購以來並無收取任何目標公司股息。考慮到目標公司的有關表現及投資回報，公司認為出售事項為集團減少於目標公司所持股權及通過出售事項收回其對目標公司的投資的良機。出售事項所得款項目前擬用於集團一般營運資金。
