電能實業(00006.HK)與長江實業附屬公司、長和附屬公司及長江基建附屬公司訂立West及Western認購協議
格隆匯9月26日丨電能實業(00006.HK)公佈，於2023年9月26日，偉峻(公司的一家間接全資附屬公司)、長江實業附屬公司、長和附屬公司及長江基建附屬公司各自訂立以下協議：(i)與West及Western訂立關於第一次股份認購的認購承諾書，同意有條件地分別認購West及Western各自的27,333,720股、16,703,940股、2,277,810股及29,611,530股新股，總認購價分別為273,337,200英鎊、167,039,400英鎊、22,778,100英鎊及296,115,300英鎊，交易將於2023年10月3日或之前完成。
以及(ii)另與West及Western訂立關於第二次股份認購的認購承諾書，同意有條件地分別認購West及Western各自的5,400,000股、3,300,000股、450,000股及5,850,000股新股，總認購價分別為54,000,000英鎊、33,000,000英鎊、4,500,000英鎊及58,500,000英鎊，交易將於2023年10月9日或之前完成；以上交易均按集團、長江實業集團、長和集團及長江基建集團各自佔West及Western實際權益的比例，根據實質上相同的條款進行。
West及Western均為投資控股公司。West及Western合共間接持有WWU的100%股權。WWU經營一個配氣網絡，服務範圍覆蓋威爾斯及英格蘭西南部地區。
第一次股份認購是WWU集團為其在貸款票據之下的現有債項進行再融資工作的一部分，第二次股份認購則將為WWU集團提供額外資金；以上兩者均將通過直接向集團、長江實業集團、長和集團及長江基建集團發行新股份的方法來實現，而彼等於West及Western的實際權益則維持不變。因此，上述股份認購將加強WWU集團的財務彈性。
