永悦科技(603879.SH)：公司及實控人收到江蘇省證監局警示函
格隆匯9月18日丨永悦科技(603879.SH)公佈，公司於近日收到中國證券監督管理委員會江蘇監督局(以下簡稱"江蘇證監局")出具的《關於對永悦科技股份有限公司、陳翔採取出具警示函措施的決定》(2023)136號，具體內容如下：
永悦科技股份有限公司、陳翔：
經查，我局發現永悦科技股份有限公司(以下簡稱永悦科技或公司) 存在以下問題：
2023年8月27日，公司全資子公司鹽城永悦智能裝備有限公司與平輿縣暢達交通投資發展有限公司簽署《銷售合同》，約定向其銷售5000台無人機，合同總金額為3億元。同日，雙方簽訂《補充協議》，另行約定了上述《銷售合同》的生效條件。上述《補充協議》，公司既未在2023年8月28日披露《關於簽訂重大合同的公吿》的同時予以披露，也未在2023年9月5日披露《關於媒體報道的澄清公吿》時予以披露。公司上述信息披露不完整的情況，違反了《上市公司信息披露管理辦法》(證監會令第182號)第三條第一款的規定。公司董事長陳翔未能勤勉履行職責，確保公司依法披露相關信息，違反了《上市公司信息披露管理辦法》(證監會令第 182號)第四條的規定。
按照《上市公司信息披露管理辦法》(證監會令第182號)第五十二條規定，我局決定對永悦科技、陳翔採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。公司應高度重視，嚴格按照法律、行政法規和中國證監會有關規定，規範信息披露制度執行，強化信息披露管理，認真履行信息披露義務，提高公司治理水平。全體董事、監事、高級管理人員應充分汲取教訓，加強對證券法律法規的學習切實提高規範意識和履職能力。你們應在收到本決定書的10個工作日內向我局提交書面報吿。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
本次行政監管措施不會影響公司正常的生產經營。敬請廣大投資者注意投資風險
