第四範式(06682.HK)預計9月28日上市 引入瀾起科技等多家基石
格隆匯9月18日丨第四範式(06682.HK)發佈公吿，公司擬全球發售1839.6萬股股份，中國香港發售股份183.96萬股，國際發售股份1655.64萬股，另有15%超額配股權；2023年9月18日至9月21日招股，預期定價日為9月21日；發售價將為每股發售股份55.60-61.16港元，每手買賣單位100股；中金公司為獨家保薦人；預期股份將於2023年9月28日於聯交所主板掛牌上市。
公司是企業人工智能的領導者。公司是一家人工智能軟件公司，專注於提供以平台為中心的人工智能軟件，使企業能夠開發其自有的決策類人工智能應用。公司的企業級解決方案旨在為企業而非個人提供服務。公司提供以平台為中心的人工智能解決方案，使企業實現人工智能快速規模化轉型落地，發掘數據隱含規律並全面提升企業的決策能力。
灼識諮詢報吿顯示，以2022年收入計，公司在中國以平台為中心的決策類人工智能市場(人工智能市場中的一個細分領域)佔據最大市場份額。中國人工智能行業可按照應用範疇分為四大領域：決策類人工智能、視覺人工智能、語音及語義人工智能和人工智能機器人。決策類人工智能識別數據中的隱藏規律，指導基於數據洞察的決策過程，並解決與核心業務運營密切相關的問題。在決策類人工智能市場中，中國以平台為中心的決策類人工智能細分市場正不斷擴大。與非以平台為中心的解決方案相反，以平台為中心的解決方案除了為終端用户提供人工智能應用及底層計算基礎設施外，亦提供人工智能開發平台。該等平台為終端用户提供統一的開發標準、高兼容性以及可根據實際需求靈活擴展應用程序。
公司已經訂立基石投資協議，據此，基石投資者已同意，待若干條件達成後，認購或促使其指定實體(包括合資格境內機構投資者)按發售價認購以總金額9680萬美元(約7.584億港元)可購買的若干數目的發售股份。假設發售價為58.38港元(即本招股章程所述發售價範圍的中位數)，基石投資者將認購的發售股份總數將為1299.01萬股發售股份。基石投資者包括新華資本管理有限公司(“新華資本管理”)、北京中關村科學城科技成長投資合夥企業(有限合夥)(“北京中關村”)、Montage Technology Holdings Company Limited(瀾起科技(688008.SH)的全資附屬公司)。
假設發售價為每股發售股份58.38港元(即所述發售價範圍的中位數)，公司預計將自全球發售收取所得款項淨額約8.85億港元。公司擬使用自全球發售收取的所得款項淨額約60%將在未來三年分配至加強公司的基礎研究、技術能力和解決方案開發；約20%將分配至擴展公司的產品、建立公司的品牌及進入新的行業領域；約10%將在未來三年分配至尋求戰略投資和收購機會，從而實施公司的長期增長戰略，以開發公司的解決方案並擴展及滲透公司所覆蓋的垂直行業；以及約10%將用作一般企業用途。
